NON-SOLICITATION AGREEMENT
This Non-solicitation Agreement (hereinafter referred to as the “Agreement”) is entered into on this _________ day of ______________ 2022 BETWEEN ___________________ (herein after referred to as the “General Contractor”) and HY-TECH ROOFING LLC. whose address is 4548 Lake St #332 70605 (hereinafter referred to as the “Company”). Together referred to as parties.
- Acknowledgment.
The General Contractor acknowledges and agrees that during the performance of his services to the Company, he will interact and develop relationships with the Company’s Subcontractors.
The General Contractor willingly enters into this Agreement while providing the agreed services to the Company.
- Non-solicitation.
The General Contractor agrees that during the term of engagement and five years after termination of the services for any reason, he not to either on his own or on behalf of another person, directly or indirectly approach, solicit, hire or retain any of the Company’s subcontractors.
- Confidentiality.
Both during and after the termination of the term of engagement with the General Contractor, he agrees not to disclose any Confidential information acquired through his performance of the agreed services to the Company, unless the General Contractor has written consent from the Company to disclose the said information to third parties.
- Termination.
Parties to this Agreement may only terminate the terms herein by mutual written consent.
- Default.
In the event the General Contractor breaches the terms of this Agreement, the Company has the right to the following remedies; –
- Monetary compensation if it can be determined.
- An injunction from the continued breach.
- Transfer any compensation earned by the General Contractor from the breach period.
- Any other available remedy by the law.
- Governing law.
This Agreement shall be subject to and governed by the laws of the state of Louisiana.
- Survival.
The obligations under clauses 1, 2, and 3 shall survive the termination of this Agreement.
The termination of this Agreement shall not affect any of the rights or obligations of either party arising prior to or at the time of termination of this Agreement or which may occur by any event causing the termination of this Agreement.
- Waiver.
If any party fails to enforce any of its rights during the performance of this Agreement, the failure shall not be construed as a waiver by such party to enforce any such past, present, or future rights under this Agreement.
- Modification.
Any modifications or amendments to this Agreement shall only be in writing and signed by both parties.
- Severability.
If any provision of this Agreement is deemed unenforceable or invalid, the same shall be severed from the Agreement, and the remaining provisions shall remain in full force and effect.
- Assignment.
This Agreement and any rights or obligations hereunder shall not be assigned to another person, not a party hereto.
