PERFORMANCE AGREEMENT
THIS PERFORMANCE AGREEMENT, hereinafter referred to as “Agreement” is entered into and made effective as of June 3, 2021 (the “Effective Date”) by and between the following parties: Sir Dukes Worldwide LLC (the “Performer”), a corporation incorporated under the laws of the state of Missouri and having its principal place of business at the following address: ____________ AND FB District Attorney Brian Middleton (the “Client”), a corporation, incorporated under the laws of the State of _________________, having its principal place of business at the following address: _______________________________. Performer and Client may be referred to individually as “Party” and collectively as the “Parties.”
RECITALS
WHEREAS, Performer is a professional entertainer, specifically “JukeBox The Band”;
WHEREAS, Client wishes to engage Performer for the Performance, as defined below;
WHEREAS, Performer has the skills, experience, and talent required to perform;
NOW, THEREFORE, in consideration of the promises and covenants contained herein, as well as other good and valuable consideration (the receipt and sufficiency of which is hereby acknowledged), the Parties do hereby agree as follows:
- PERFORMANCE
Performer will provide the following Performance: singing in the Expose Excellence Juneteenth Event
- VENUE, DATE, AND TIME:
The Venue of the Performance (“Venue”) is as follows:
Hunters Glen Park
1340 Independence Blvd
Missouri City TX, 77489
The Performance will be held at the following date and time:
Date: June 18, 2021
State time of Performance: 6.00 pm
End Time of Performance: 9.00 pm
- PERFORMANCE ORGANIZATION
Sound System: The Band will be responsible for arranging any required music or sound elements, including if necessary, by bringing a portable sound system to the Performance.
- ADVERTISING
Client is responsible for all promotion, advertising, and production of the Performance. Performer may also promote the Performance through Performer’s social media platforms, though he is not obligated to do so.
Performer agrees that Client may use Performer’s name, image, likeness, photographs, videos, or other personal media in the promotion and advertising of the Performance.
- PAYMENT
Client agrees to pay the Band the following fees (“Fees”) for the Performance $ 750 and $ 200 for the sound. $ 950 will be payable to Sir Dukes Worldwide LLC via a check.
- PERMITS
Client is solely and exclusively responsible for obtaining any and all permits and license for obtaining any and all permits and licenses related to the Performance.
- TERMINATION AND CANCELLATION
Either Party may cancel the Performance by providing sufficient notice preferably 14 day notice to the other party before the event.
- RELATIONSHIP
Nothing herein shall be taken to establish any partnership, joint venture, agency, or employment relationship. Performer is, and at all times will be, an independent contractor. Performer shall receive no benefits from Clients. Performer shall be responsible for all of Performer’s own taxes, and no amounts will be withheld by client.
- DISPUTE RESOLUTION
Any dispute arising regarding the subject matter of the agreement shall be solved by negotiation between the parties.
- GOVERNING LAW
This Agreement shall be governed in all respects by the laws of the state of Texas and any applicable federal law. Both Parties consent to jurisdiction under the state and federal courts within the state of Texas. The Parties agree that this choice of law, venue and jurisdiction provision is not permissive, but rather mandatory in nature.
- ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties and supersedes any prior or contemporaneous understandings, whether written or oral.
- FORCE MAJEURE
The Band will not be liable for any failure to perform due to causes beyond its reasonable control including, but not limited to, acts of God, acts of civil authorities, riots, embargoes, acts of nature and natural disasters, and other acts which may be due to unforeseen circumstances.
