  PRODUCTION  SERVICE AGREEMENT

 

 

 

                                                BETWEEN

 

 

 

                                                Sydney Roth

                                               (“The Client”)

 

 

 

 

 

                                                     AND

 

 

 

 

 

 

                                                Danny Mirabal

                                             (“The Producer”)

 

 

THIS AGREEMENT is made on June 16th, 2021 is entered into by and between the Client and the Producer (Client and Producer collectively referred to herein as the “Parties” or individually as the “Party”).

 

WHEREAS:

 

  • The Producer is a skilled and professional on-demand service provider based in …………. that provides video production and editing services.
  • The Client wishes to engage the Producer to provide the Services.
  • The Producer will assist in the creation of the film project titled Sydney Roth and Chad Walsh’s Wedding (“the Project”)
  • The Producer has indicated and warranted that he has the necessary skills, expertise, personnel, and equipment to carry out and complete the Services at the Contract Sum (a term defined below) and to the standards that are stated in this Agreement.
  • The Client now wishes to enter into this Agreement with the Producer under which the Producer will provide the Services.

 

THEREFORE, in consideration of mutual promises, representations, covenants, and other good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, the Parties agree to the following terms and conditions and to be bound thereby:

 

 

  1. TERM OF THE AGREEMENT
  2. The term of this Agreement (the “Term”) will begin on the date of this Agreement and shall end on the target completion date of November 16th The parties agree that this schedule is subject to change from time to time with the mutual consent of both Parties.
  3. Once finalized, the Production Schedule shall serve as both the primary timeline and milestones guideline for the Project. Both Parties agree to stick to the scheduled dates and a revision cycle to the best of their abilities and understand that failure to do so will result in project delays and additional fees.
  4. In the event that either Party wishes to terminate this Agreement, that Party will be required to provide 30 days written notice to the other Party.
  5. Except as otherwise provided in this Agreement, the Producer’s obligations will end upon the termination of this Agreement.

  1. THE OBLIGATIONS OF THE PARTIES

 

  1. The Producer shall possess the technical resources necessary for the correct implementation of the Services within the term and under the conditions established in the present Agreement.
  2. The Producer shall;-
  3. Shoot Highlight reel
  4. Edit Highlight reel

iii. Deliver Highlight reel

 

  1. The Client shall pay the Producer 50% of the total fee upon completion of the shoot and shall pay the remaining 50% of the total fee shall be paid upon delivery of Highlight Reel and the Raw Footage.

 

  1. FEES AND PAYMENT TERMS
  2. In consideration of the provision of the Services by the Producer, the Client shall pay the total costs of $ 1,800.00 US Dollars.
  3. The total cost shall be inclusive of the Producer’s travel costs. The Client shall not incur any additional travels and/ or miscellaneous expenses.
  4. The Client shall pay the Producer for the Project in the following instalments:
  5. The first payment, of $ 900.00 plus taxes (the “Deposit”), shall be paid at the end of the wedding night on the 28th August, 2021, after the Producer has obtained the necessary footage.
  6. The second and final instalment, of $ 900.00 plus taxes, will be paid upon the Client’s receipt of the final highlight reel and raw footage.

 

  1. In the event the Producer is unsuccessful to render the highlight reel and raw footage within the stipulated timeline in this Agreement;-

 

  1. The Client shall not be obligated to pay the costs, and the Producer shall not be entitled to receive any payment under this Agreement.

 

  1. Failure to provide the deliverables specified under this Agreement, pursuant to this Agreement, shall constitute a material breach of this Agreement.

 

  1. EXPENSES
  2. The Producer will pay for all Project expenses related to:

  1. The Client has no further expenses, and the total costs shall be inclusive of all costs and expenses related to this Agreement.
  2. APPROVAL / REVISIONS

 

  1. The Client is granted three rounds of major revisions and three rounds of minor revisions as part of the Project scope. Additional rounds of major and minor revisions are billed at $ 50 per day per new revision.

 

  1. Major and minor rounds of revision must be delivered to the Producer within 3 rounds/days of Initial Project delivery. Upon the expiration of the three revision rounds, it shall be deemed that the Client has approved the Project.
  2. Major revisions will be defined as any significant changes to the story’s narrative, edit, inclusion, removal of entire scenes or VOs, change in the soundtrack and anything that significantly impacts the overall story or visual.
  3. Minor revisions are defined as any minor rearrangement, removal, edit, or addition of footage that won’t significantly affect the narrative or story such as audio levels and color balance.
  4. Any major and minor revisions necessary but due to no undertaking on the Client’s part shall not be deemed part of the Producer’s three revision rounds and will be done at no additional cost to Client.

 

  1. OWNERSHIP AND COPYRIGHT
  2. The Project and all final materials created as a direct result of this Agreement and specifically mentioned in this Agreement become the legal property of the:

  1. Upon the completion of work and the payment in full of the Final Budget by the Client. Once the Project is completed and the balance of the Pinal Budget is paid, the (Parties) DANNY MIRABAL AND SYNDEY ROTH shall assign all rights in and to the Project to the DANNY MIRABAL for use in live in-person presentations and web promotional use.

 

  1. RIGHTS PERIOD AND USE RESTRICTIONS.
  2. The Client acknowledges that due to third party agreements with respect to the production of the Project, there may be limits to the time the Project is permitted to be publicly exploited.
  3. These limits are imposed due to the Rights Period and Permitted Media limitations in acting or voice-over agreements for the talent appearing in the Project, stock music licensing for the music used in the Project, and/or stock footage licensing for the footage used in the Project All of these limitations will be outlined in the Performer’s Deal Melno, Music Use Licenses, and/or Footage Licenses provided to the Client prior to inclusion in the Project.
  4. The Producer shall provide the Client with information concerning the Client’s use and sharing of the Project to other third parties.

 

  1. CONFIDENTIALITY

During the course of this Agreement, the Parties may disclose to the other certain information which is confidential to the disclosing Party. Provided that the disclosing Party informs the other Party that the information is Confidential Information, each Party will hold the other Party’s Confidential Information in confidence, will not disclose it to other parties and will only use it for the purposes of this Project.

 

  1. ACCURACY OF CONTENT

The Project is based on the information provided to the Producer by the Client. The Producer cannot guarantee the accuracy of this information. It is understood that the Client is responsible for all Project content provided by the Client.

 

  1. TERMINATION OF AGREEMENT
  2. Either Party may terminate this Agreement upon giving the other Party no less than three days’ notice in writing, provided that no party may terminate this contract within 30 days of August 28, 2021.
  3. In the event of a breach of its terms by the other Party and the Party in violation fails to rectify the said breach within thirty days upon issuance of a notice to rectify the same.
  4. To the extent that the Producer is unable to perform his contractual responsibilities under this Agreement, whether as a result of the Producer’s fault or no-fault on his part:-
  5. The Client shall be fully refunded the Deposit, inclusive of all other additional costs incurred by the Client.

 

  1. The funds shall be refunded to the Client within five days.

 

  1. The Client will pay to the Producer fees for all work performed prior to the date of termination at a rate of Specific Dollar Amount US Dollars per hour, less any amount previously paid.

 

  1. This Agreement will automatically terminate when both Parties have performed all of their obligations under the Agreement, and all payments have been received.

 

  1. VARIATION TO THE AGREEMENT

Either Party may request variations to the Agreement.  The Parties shall enter into discussions to agree on any required changes, revised pricing, and time for performance.  Such variations will only be effective if agreed in writing by the Parties.

 

 

  1. ENTIRE AGREEMENT

 

The Agreement constitutes the entire Agreement of the Parties. Amendments may be made by written Agreement of both parties.

 

 

  1. DISPUTE RESOLUTION

 

  1. If any dispute arises between the Parties related to this Agreement, it shall be resolved by mediation between and among the parties, with the help of a mutually agreed-upon mediator.
  2. Any costs and fees incurred other than attorney fees associated with the mediation shall be shared equally by the parties.
  3. In the event that a dispute cannot be resolved through mediation, the Parties agree to submit to binding mediation or arbitration.
  4. In the event of arbitration and/or mediation, the prevailing Party will be entitled to its legal fees, including, but not limited to, its attorneys’ fees.
  5. In the event the parties resolve to use arbitration, the Parties agree to submit to binding arbitration in the city of Southampton, State of New York, under the rules of the American Arbitration Association.
  6. Judgment upon the award rendered by the arbitrator may be entered in any court with jurisdiction to do so. The prevailing Party shall be entitled to recover its costs and reasonable attorney’s fees.

 

 

  1. APPLICABLE LAW

The Parties agree that the construction, validity, and performance of this Agreement shall be governed by the State of New York Law.
