WORK MADE FOR HIRE

This Work for Hire Agreement (this “Agreement”) is made effective as of __________________________ (the “Effective Date”), by and between___________________________ (the “Artist”) of ________________________ (“Email Address”) ____________________________ (the “Address”) and ___________________________ (the “Producer”) of _____________________ (“Email Address”) and _________________________ (the “Address”).

In this Agreement, the party who is contracting to receive the services shall be referred to as “Producer”, and the party who will be providing the services shall be referred to as “The Artist”.

  1. DESCRIPTION OF SERVICES. The Producer will contract the Artist to make art but it is not limited to it, it could range from art, to sound to promo work to developing and programming and anything related to creating games and development for the Producer which will be used by the Producer.
  2. GRANT OF RIGHTS. The Artist will grant the Producer the exclusive, non-transferable and non-revocable right in the Art. By signing this Agreement, the Artist waivers his/her rights in the work produced.
  3. PAYMENT FOR SERVICES. In consideration of the services provided by the Artist, the Producer will pay an hourly rate of ________________ through ___________________ (the “Payment Method”).
  4. INDEPENDENT CONTRACTOR. It is expressly agreed that the Parties shall be independent contractors and that the relationship between the Parties shall not constitute a partnership, joint venture or agency. Neither Party shall have the authority to make any statements, representations or commitments of any kind, or take any action, which shall be binding on the other Party, without prior consent of such other Party.
  5. TERM/TERMINATION. The term of this Agreement will commence on ______________ and end on ________________. The Agreement will be terminated if the Artist has not communicated with the Producer for at least a week, then the Producer can terminate the Agreement. Also, the Agreement can be terminated if the Artist has not fulfilled the working hours as agreed upon. This Agreement can also be terminated at any time by the Producer after informing the Artist.
  6. CONFIDENTIALITY. The Artist may have had access to proprietary, private and/or otherwise confidential information (“Confidential Information”) of the Producer. Confidential Information shall mean all non-public information which constitutes, relates or refers to the operation of the business of the Producer, including without limitation, all financial, investment, operational, personnel, sales, marketing, managerial and statistical information of the Producer, and any and all trade secrets, customer lists, or pricing information of the Producer. The Artist will not at any time or in any manner, either directly or indirectly, use for the personal benefit, or divulge, disclose, or communicate in any manner any Confidential Information. The Artist will protect such information and treat the Confidential Information as strictly confidential.
  7. NO CONFLICTS. The Artist hereby represents and warrants to Producer that its execution and performance of this Agreement does not and will not breach any other agreement and does not require the consent of any other person or entity.
  8. BREACH. The breach of any term of this Agreement, will qualify the Artist for non-payment and the Agreement will be terminated immediately.
  9. GOVERNING LAW. This Agreement shall be construed and interpreted according to the laws of the Country where the Artist resides.
  10. ENTIRE AGREEMENT. This Agreement constitutes the entire contract between the parties. All terms and conditions contained in any other writings previously executed by the parties regarding the matters contemplated herein shall be deemed to be merged herein and superseded hereby. No modification of this Agreement shall be deemed effective unless in writing and signed by the parties hereto.
