VENDOR AGREEMENT

THIS VENDOR AGREEMENT (hereafter “the Agreement”) is made on the…………day of December, Two Thousand and eighteen (XXXX).

BETWEEN;

XXX, an online supermarket domiciled and carrying out business within the United States of America (hereinafter referred to as (“the Supermarket”) of the one part;

AND

YYYY, of Post Office Box Number…… (Hereinafter referred to as “the Vendor”) of the other part.

WHEREAS;

  1. The Supermarket carries out the business of online sale and physical delivery of Indian grocery to its various customers;
  2. The Supermarket is desirous of sourcing groceries from the Vendor;
  3. The Vendor has agreed to be supplying the Supermarket with the groceries of the agreed quality and in accordance with the terms and conditions set out in this Agreement.

IT IS HEREBY AGREED AS FOLLOWS:

  1. Operative
    • The Vendor shall sell to the Supermarket Indian groceries which shall correspond with the sample shown to the Supermarket by the Vendor (hereinafter referred to as “the goods”)
  • This Vendor Agreement shall be valid for a period of one year beginning on………..…..XXXX.
  1. Consideration/payment
    • In consideration of the Vendor undertaking the duties set out in this Agreement, the Supermarket shall compensate the Vendor in terms of groceries per box/ case pricing, which shall be agreed upon between the Parties.
  • The Vendor shall issue invoices on a monthly basis and the Supermarket shall be required to make all payments in respect of the Invoices within 30 days from the invoice receipt date.

 

  1. Delivery

The Vendor shall collect, prepare and make the goods ready for delivery to the Supermarket’s customers, as per the instructions issued by the Supermarket from time to time.

  1. Confidentiality

The Vendor shall maintain confidentiality of all services performed on behalf of the Supermarket. Under no circumstances should the Vendor disclose to a third party any information related to the Supermarket, its business activities or the fact that the vendor is the Supermarket’s supplier.

  1. Status of the Vendor

During the term of this Agreement, the Vendor shall be an independent contractor and not the employee of the Supermarket.

  1. Termination
    • Either party may terminate the Agreement by giving………………notice in writing to the other. In lieu of notice, the terminating party will be liable to pay ₹…….to the other.
    • At the end of the one-year contract period, the Agreement may be renewed by mutual agreement of the Parties.
  2. Arbitration

All disputes or differences which shall at any time arise between the parties concerning any matter in relation to this Agreement shall be resolved amicably through conciliation, negotiation or Arbitration.

  1. Governing law

This Agreement shall be construed and enforced in accordance with the laws of the United States of America.
