UV SECURITY SERVICES AGREEMENT
This Security Services Agreement effective as of ___________________ (‘Effective Date’) is entered into by and between UV Security (hereinafter the ‘Company’) AND _________________________________________ (‘Client’). Individually referred to as ‘Party’ and collectively referred to as ‘Parties.’ The Parties intend to be legally bound as follows:
- SERVICES
UV Security provides the following services to the Clients: Nightlong live monitoring of your sites by a dedicated team of remote guards, Proactive surveillance solutions that prevent crime/risks before happening, instant notifications/snapshots send to the Client and authority if any suspicious activity is noticed, instant intervention and prevention of intruders or any unauthorized activity around the premises, the option of detailed recording of all activities within the premises and customized solutions that are cost-effective.
- TERM
The term of this Agreement will commence on ____________________ and continue effectively for _________ months. The Parties may renew the term at the end of the period.
- PAYMENT TERMS
The Client will pay according to the number of months the Client subscribes to. The Client will pay a total amount of $ ___________________. The payment modes acceptable by the Company are as follows: _________________________________
- CONFIDENTIALITY
The Company acknowledges that it may have access to information that is treated as confidential and proprietary by the Client. The Company agrees to: (a) treat all Confidential Information as strictly confidential; (b) to not disclose Confidential Information or permit it to be disclosed, in whole or part, to any third party without the prior written consent of the Client in each instance; and (c) to not use any Confidential Information for any purpose except as required in the performance of the Services. The Company shall notify the Client immediately in the event it becomes aware of any loss or disclosure of any Confidential Information or other breach of its obligations under this section.
- Confidential Information shall not include information that: (a) is or becomes generally available to the public other than through the Company’s breach of this Agreement; or (b) is communicated to the Company by a third party that had no confidentiality obligations with respect to such information.
- Nothing herein shall be construed to prevent disclosure of Confidential Information as may be required by applicable law or regulation, or pursuant to the valid order of a court of competent jurisdiction or an authorized government agency, provided that the disclosure does not exceed the extent of disclosure required by such law, regulation or order. The Company agrees to provide written notice of any such order to an authorized officer of the Client within twenty-four (24) hours of receiving such order, but in any event sufficiently in advance of making any disclosure to permit the Client to contest the order or seek confidentiality protections, as determined in the Client’s sole discretion.
- INDEMNIFICATION
Except to the extent paid in settlement from any applicable insurance policies, and to the extent permitted by applicable law, each Party agrees to indemnify and hold harmless the other Party, and its respective directors, stockholders, affiliates, officers, agents, employees, and permitted successors and assigns against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and cost of any kind or amount whatsoever, which result from or arise out of any act or omission of the indemnifying party, its respective directors, stockholders, affiliates, officers, agents, employees, and permitted successors and assigns that occurs in connection with this agreement. This indemnification will survive the termination of this Agreement.
- INSURANCE
The Company will be required to maintain general liability insurance including coverage for bodily injury and property damage at a level that would be considered reasonable in the industry of the Company based on the risk associated with the characteristics of this Agreement and only to the extent permitted by law. All insurance policies will remain materially unchanged for the duration of this agreement. The Client will also maintain insurance of their premises and the property in their premises.
- LEGAL EXPENSES
If legal action is brought to enforce or interpret any term of this agreement, the prevailing party will be entitled to recover, in addition to any other damages or award, all reasonable legal cost and fees associated with the action.
- MODIFICATION OF AGREEMENT
Any amendment or modification of this agreement or additional obligation assumed by either party regarding this agreement will only be binding if evidenced in writing signed by either parties or an authorized representative of each Party.
- ASSIGNMENT
The Company will not voluntarily, or by operation of law, assign or otherwise transfer its obligations under this Agreement without the prior written concern of the Client.
- ENTIRE AGREEMENT
It is agreed that there is no representation, warranty, collateral, or condition affecting this agreement unless provided in this agreement.
This agreement will ensure to the benefit of and be binding to the Parties and their respective heirs, executors, administrators, successors and permitted assigns.
- TITLES/HEADINGS
Headings are inserted for the convenience of the Parties only and are not considered when interpreting this Agreement.
- DISPUTE RESOLUTION
Any disputes arising subject to this Agreement shall be solved in good faith through mediation.
- GOVERNING LAW
This Agreement will be governed and interpreted according to the laws of _________________
