UNDERTAKING

This undertaking is entered into by and between __________________________ (“the Middleman”) of ___________________________ (ADDRESS) and __________________________ (“the Seller) of _____________________ (ADDRESS) effective as of _________________________. Individually referred to as “Party” and collectively referred to as “Parties”.

RECITALS

WHEREAS, the Seller is selling an art piece required by the Buyer located in London;

WHEREAS, the Middleman is connecting the Seller to the Buyer;

NOW, THEREFORE, the Parties agree to be bound as follows:

  1. UNDERTAKING

The Seller agrees to include the Middleman in the negotiation and the sale of the art piece by guaranteeing its availability through messages and on Whatsapp and involving him in the sale transactions.

  1. COMPENSATION

In consideration of the services provided by the Middleman, the Seller agrees to compensate the Middleman 10% commission on the total sale of the Art piece. 

  1. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement will be construed, interpreted and governed by the laws of the country in which the transaction will take place. Any dispute arising regarding the subject matter of the Agreement will be solved through mediation between the Parties. 

  1. ENTIRE AGREEMENT

This Agreement embodies the full understanding and agreement between the Parties and shall supersede all other understandings, verbal or written. All statements, undertakings and representations are made without omission of any material fact, with personal, corporate and legal responsibility.

Each signatory to this Agreement confirms and declares that he or she is empowered, legally qualified and authorized to execute and deliver this Agreement and be bound by its terms and conditions.
