TUTOR AGREEMENT
This Tutor Agreement effective as of ________________________ (“Effective Date”) is entered into by and between Cordoba House (hereinafter the “Institution”) and _____________________________ (hereinafter the “Tutor”). Individually referred to as ‘Party’ collectively referred to as ‘Parties’. The Parties intend to be legally bound as follows:
- SERVICES
The Tutor will employ expertise in providing tutoring services to the Institution’s Clients. Tutor agrees to be fully prepared for each session by reviewing any material prior to rendering their services.
- TERM AND TERMINATION
The Tutor will begin rendering Tutoring Services on _______________________________ and continue effectively for ___________months. This Agreement may be terminated by mutual agreement between the Parties. The Institution can terminate the agreement for non-performance, illegal activity, competition and disclosure of confidential information. If the Tutor wishes to terminate this Agreement, s/he should service the Institution a five-week prior notice detailing their intention to terminate this Agreement.
- COMPENSATION
In consideration of the services provided by the Tutor, s/he will be paid an hourly fee of $ ______.
- INDEPENDENT CONTRACTOR
The Tutor is an independent contractor. The Tutor is an agent, representative or partner of the institution. The Tutor shall not have any right, power, or authority to enter into any agreement for or on behalf of, or incur any obligation or liability of, or otherwise bind, the other Party. This Agreement shall not be interpreted or construed to create an association, joint venture, partnership, and representative or employment relationship between the Parties or to impose any partnership obligation or liability upon either Party.
- NON-COMPETE
During the term of this Agreement and for a period of twelve (12) months following the termination of this Agreement, the Tutor shall not directly or indirectly, as employee, consultant, independent contractor or Tutor or in any other capacity, own, operate, manage, control, engage in or participate in any manner, act as or render services directly related to or similar to the services rendered by the Institution.
- CONFIDENTIALITY
Confidential information shall include contact lists, contact information, individuals and businesses who related with the Institution and materials and logos developed by the Institution among others. The Institution acknowledges that Tutors working for the Institution may receive material which is regarded as Confidential. The Tutor agrees not to reproduce, including but not limited to photocopying, emailing documents to email accounts, scanning, printing extra copies of any article, study materials, writing or project files unless for the purposes of tutoring only. This section shall inure after the termination of this Agreement.
- DISPUTE RESOLUTION
Any dispute arising between the Parties shall be solved in good faith through mediation. If mediation fails, the Parties will resort to litigation in the District courts in ____________________
- GOVERNING LAW
This Agreement constitutes the entire understanding and agreement between the Parties with respect to the transactions contemplated, and supersedes any and all prior or contemporaneous oral or written representation, understanding, agreement or communication between the Parties concerning the subject matter hereof. Neither Party is relying upon any warranties, representation, assurance, nor inducements not expressly set forth herein.
