TRAINING AGREEMENT
This Training Agreement (this "Agreement") is made effective as of _____________ by
and between BrightPath STEM Academy (the "Client"), of _________________,
_________________, __________________________________, and Focusing on Me
(the "Company"), of _________________, _________________, and
__________________________________. In this Agreement, the party who is
contracting to receive the services shall be referred to as "Client", and the party who will
be providing the services shall be referred to as "Company."
1. DESCRIPTION OF SERVICES. The Company offers Small Unmanned Aerial
System (SUAS) orientation /STEAM experience opportunities to young people
with an intentional focus on female young people from BIPOC communities. The
Company consists of professionals who use their own professional and Company
methods to perform services. The Company offers its training services through
summer camps curated for the group.
2. PAYMENT FOR SERVICES. In consideration of the services provided by the
Company, the Client will be required to pay a total sum of $
_____________________. 50% of the total sum will be deposited before the
commencement of the work and the remainder will be paid on the 1 st day of the
Camp.
3. EXPENSES. Any additional expenses incurred by the Company including but not
limited to travel and lodging will be paid by the Client.
4. TERM AND TERMINATION. This Agreement will commence on July 25 and
continue effectively until July 28. During this period, the Company will offer 8
sessions of I hour each. The Weekly Schedule will be as follows: on Monday,
introduction to Drones with Flight Mission; on Tuesday, Drone Safety with Flight
Mission; on Wednesday, Introduction to Drone Coding w/Block Coding; and on
Thursday, Introduction to Drone Coding w/Python.
5. TERMINATION. This Contract may be terminated if the government formulates
guidelines that limit the Company’s delivery of services. Additionally, this
Agreement may be terminated by either Party by serving the other party a 30 day
sufficient notice detailing their intention to terminate. Upon termination of this
Agreement, the Company will be entitled to payment for work carried out up to
the date of the termination, less any payments, already received, and will render
and invoice for this work to the extent not already invoiced.
6. CONFIDENTIALITY. The Parties agree to maintain confidentiality and practice
non-disclosure of confidential information. Confidential Information shall mean all
non-public information which constitutes, relates or refers to the operation of the
Company of either Party, including without limitation, all financial, investment,
operational, personnel, sales, marketing, managerial and statistical information of

either Party, and any and all trade secrets, customer lists, or pricing information
of either party. .
7. INDEMNIFICATION. The Company agrees to indemnify and hold harmless the
Client from all claims, losses, expenses, fees including attorney fees, costs, and
judgments that may be asserted against the Client that result from any acts or
omissions of the Company.
8. DISPUTE RESOLUTION. Any disputes arising between the Parties shall be
solved in good faith through mediation.
9. GOVERNING LAW. This Agreement shall be governed by the laws of the State
of _____________________________.
10. ENTIRE AGREEMENT. This Agreement constitutes the entire contract between
the parties. All terms and conditions contained in any other writings previously
executed by the parties regarding the matters contemplated herein shall be
deemed to be merged herein and superseded hereby. No modification of this
Agreement shall be deemed effective unless in writing and signed by the parties
hereto.
