TERMINATION AGREEMENT

BETWEEN
1.XXX, a XXXX corporation with its principal place of business at “XXXX
AND
- XXXX an individual doing business as Fashiontising, with an address at [address] (the “Service Provider”), collectively referred to as the “Parties”.
WHEREAS, the Parties entered into a verbal agreement for the Service Provider to provide Facebook ads management and website analysis services to the Company;
WHEREAS, there was no original contract and payment terms were not set in stone;
WHEREAS, the Company has tested the Service Provider services for a month and has decided not to continue with the services;
WHEREAS, the Parties wish to terminate their business relationship and settle all outstanding financial matters;
NOW, THEREFORE, the Parties agree as follows:
TERMINATION OF SERVICES:
The Parties agree to terminate the services effective as of [Date]. The Service Provider shall cease all work on the Company’s behalf as of the termination date.
PAYMENT:
The Company agrees to pay the Service Provider the sum of $1,500 for the Facebook ads management and website analysis services provided during the trial period. Payment shall be made within two (2) weeks from the date of this Agreement.
RELEASE OF CLAIMS:
The Parties agree to release each other from any claims or liabilities arising from the termination of services.
CONFIDENTIALITY:
The Parties agree to maintain the confidentiality of all information obtained during the course of the business relationship.
DISPUTE RESOLUTION.
In a case that the Parties cannot amicably resolve a dispute from this Agreement, the parties agree to resolve any such dispute or damage claim by mediation. The mediation proceeding shall be conducted in XXX, in accordance with the rules of the American Arbitration Association then in effect with one (1) Mediator to be selected by mutual agreement of the Parties.
GOVERNING LAW:
This Agreement shall be governed by and construed in accordance with the laws of the state of XXXX.
ENTIRE AGREEMENT:
This Agreement contains the entire understanding between the Parties and supersedes all prior negotiations and understandings between them, whether written or oral.
COUNTERPARTS:
This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
