STATEMENT OF WORK

This Statement of Work (“SOW”) is made and entered into as of [INSERT DATE] (“Effective Date”), by and between eResource Planner, Inc., an Arizona corporation (hereinafter “Client”), and Consulting 360, LLC a North Carolina corporation (hereinafter “Service Provider”) also individually referred to as “Party” and collectively referred to as “Parties”.

This SOW shall be attached to and governed by the terms of the Master Services Agreement “MSA” between the Service Provider and the Client.

  1. TERM

This SOW shall be for a period of one (1) year from the Effective Date, unless terminated earlier by either Party as provided in this Agreement.

 

  1. SCOPE OF SERVICES

 

  1. The Service Provider agrees to provide the following professional services (“Services”) to the Client:

 

  1. Analyze data report user types to determine Power BI use cases;

 

  1. Evaluate licensing of Power BI for the Client use case; and

 

  • Recommend Power BI licensing approach by use case.

 

  1. The following services are out of scope for this project:

 

  1. Pricing for Microsoft Power BI licenses which can be determined by the Client’s Microsoft Enterprise Plan.

 

  • DEADLINES

 

  1. The following deadlines shall apply to the provision of Services:

 

  1. All Services shall be provided within fifteen (15) business days of the signing of this Statement of Work.

 

  1. The Service Provider shall give the Client reasonable written notice prior to any established deadline extension.

 

  1. PROJECT TEAM

The Service Provider shall provide the following project team to perform the Services specified in this SOW:

  1. CHANGE OF MANAGEMENT

 

  1. A change is defined as any request to modify the original scope, budget, or schedule (as defined in this SOW) and its Services or Deliverables.

 

  1. When a change is identified, it will be analyzed by the Service Provider project team to identify its impact to schedule and cost.

 

  1. The Service Provider shall work with the Client’s Leadership Team to review the change and associated impacts to the project and determine next steps.

 

  1. A Change Order will be created for execution by both Parties for all approved changes, regardless of impact to cost and timelines.

 

  1. PAYMENT

 

  1. The Client shall pay the Service Provider compensation for services provided pursuant to this SOW.

 

  1. Services under this Agreement shall be provided on a time and materials basis and any estimated amounts described herein are solely good faith estimates for budgeting and resource scheduling purposes and not a guarantee that the work will be completed for such amounts; actual amounts may be higher or lower.

 

  1. Hours not consumed shall not be billed by the Service Provider.

 

  1. The Service Provider may add personnel to the project team to meet the requirements of this SOW, provided that any additions shall be within the agreed-upon SOW budget.

 

  1. The Client’s expenses shall be billed in addition to hours worked.

 

  1. Invoices shall be provided monthly or at the conclusion of this consulting engagement, whichever comes earliest.

 

  1. Payment shall be due within fourteen (14) calendar days of receipt of invoice.

 

  • CLIENT RESPONSIBILITIES

The Client agrees to provide timely and accurate input and feedback to the Service Provider as necessary for the Service Provider to complete the Services.

  • INTELLECTUAL PROPERTY

Pursuant to the MSA, all intellectual property developed or created by the Service Provider in connection with the Services shall be owned by the Client.

  1. TERMINATION

 

  1. Either Party may terminate this SOW upon written notice to the other Party, in the event of unprofessional or disrespectful conduct by the other Party, or non-payment of invoices beyond fourteen (14) calendar days.

 

  1. In the event of termination, the Client shall promptly pay the Service Provider for all services provided through the termination date.

 

By signing below, the Parties agree to be bound by the terms of the MSA and this Statement of Work.
