STATEMENT OF WORK
This Statement of Work (“SOW”) is made and entered into as of [INSERT DATE] by and between [INSERT CLIENT NAME], a [INSERT STATE OF INCORPORATION] corporation (“Client”), and [INSERT SERVICE PROVIDER NAME], a [INSERT STATE OF INCORPORATION] corporation (“Service Provider”).
This SOW shall be attached to and governed by the terms of the MSA between the Service Provider and the Client.
- SERVICES
The Service Provider agrees to provide the following professional services (“Services”) to the Client:

Client agrees to provide timely and accurate input and feedback to Service Provider as necessary for Service Provider to complete the Services.
- INTELLECTUAL PROPERTY
Pursuant to the MSA, all intellectual property developed or created by the Service Provider in connection with the Services shall be owned by the Client.
- TERMINATION
Either Party may terminate this SOW upon written notice to the other Party, in the event of unprofessional or disrespectful conduct by the other Party, or non-payment of invoices beyond fourteen (14) calendar days. In the event of termination, the Client shall promptly pay the Service Provider for all services provided through the termination date.
By signing below, the Parties agree to be bound by the terms of this MSA and any SOWs attached hereto.
