STAFFING AGREEMENT.

This Staffing Agreement (hereinafter referred to as the “Agreement”) is entered into
on ___________ by and between EVYS ENTERPRISES (“Agency”) and
_________________ (“Client”) to utilize healthcare clinicians/workers (“Clinicians”)
to provide temporary professional services at the Client’s facilities.
1. Description of Services.
The Agency will use its best efforts to recruit, screen, interview, and assign qualified
Clinicians to staff Client facilities.
The Client represents, warrants, and covenants that it;
i. Has obtained and will keep current all the licenses, permits, and
authorizations necessary to conduct its business and to utilize the Clinicians
in accordance with all applicable laws, rules, and regulations,
ii. Shall provide and be responsible for all oversight of Clinicians in connection
with the temporary professional services offered by Clinicians for Clients, and
iii. Provide assigned Clinicians with a safe work site and appropriate information,
training, and safety equipment concerning any hazardous substances or
conditions to which they may be exposed at the worksite.
2. Term.
The term of this Agreement shall be for (tick one); –

3. Compensation.
The Client agrees to pay for services rendered under this Agreement as agreed
between the parties.
The payment will be _________ per hour for (skilled nurses RNs, LVN, CAN, and
Caregivers/Seaters (1:1)) depending on what parties have agreed on for each
category.
There is also an option to prepay or be billed for the services after the fact.
Parties agree that all overtime will be paid for.
4. Equal Employment Opportunity Policy.

Both parties acknowledge that they are equal opportunity employers and agree that
they do not and will not discriminate against, harass, or retaliate against any
employee or job applicant based on race, color, religion, sex, nationality, age,
disability, veteran status, sexual orientation, gender identity, or any other status or
condition protected by the applicable federal, state or local laws.
The Client will promptly investigate allegations of discrimination, harassment, and
retaliation and immediately report any suspected discrimination, harassment, and
retaliation to the Agency either by or against Clinicians.
5. Dispute Resolution.
If there is a dispute between the parties, the same shall be referred to arbitration,
whose decision shall be final and binding upon the parties.
Each party shall bear its costs.
6. Termination.
Either party to this Agreement may terminate upon issuing a written notice to the
other party. The reasons for termination may include but are not limited to;
i. Failure to make the necessary payments.
ii. The client no longer needs the services (which shall be done before staffing).
iii. Failure to follow the applicable labor laws
7. Insurance and Indemnification.
The Agency shall keep and maintain professional liability insurance for its staff.
The Agency shall provide the Client with a certificate of insurance that this coverage
has been obtained and secured.
8. HIPPA Requirement.
Agency personnel agrees to keep confidential and trust all confidential information of
the Client’s patients.
The Agency agrees to comply with applicable provisions of the administrative
simplification section of the Health Insurance Portability Act of 1996, as codified at
42 U.S.C. 1320d through d-8 (“HIPPA”).

9. Non-Disclosure.
The Agency and the Client agree not to advertise, disclose, or otherwise discuss the
terms of this Agreement with any third parties.

10. Non-compete.
Parties herein agree and acknowledge that the Client will not employ or steal the
clinician until the clinician is confirmed that they are no longer employed by the
Agency for a year.
The parties herein acknowledge that the terms of this clause are fair, and any breach
will result in monetary compensation to be communicated by the Agency.
11. Governing Law.
This Agreement shall be governed and construed by the laws of the State of
California.
12. Entire Agreement.
This Agreement contains the entire Agreement between the parties and supersedes
all prior oral or written agreements, understandings, commitments, and practices
between the parties.
The Authorized representatives of the parties herein have executed this Agreement
below to express the parties’ agreement to its terms.
