    SPONSORSHIP AGREEMENT

THIS AGREEMENT is hereby entered into on this ………………day of …….……………. Two Thousand and ……………………………

BETWEEN

  1. XXX LLC, a limited liability company organized and existing under the laws of XXX, hereinafter referred to as (“Sponsor”)

                                                          AND

  1. XXX, a company organized and existing under the laws of XXX, hereinafter referred to as (“XXX”)

RECITALS

WHEREAS, Sponsor operates a YouTube channel and desires to create and publish sponsor videos promoting XXX online personal training program;

WHEREAS, XXX provides online personal training services and desires to offer Sponsor one month of online personal training for each sponsored video created by Sponsor;

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

  1. SERVICES:

Sponsor agrees to create and publish one sponsor video per month on their YouTube channel promoting XXX online personal training program. The content of each video will be agreed upon by both parties prior to publication.

In exchange for the sponsorship videos, XXX agrees to provide Sponsor with one month of online personal training for each sponsored video.

  1. COMPENSATION:
  2. In consideration for the promotional services provided by Sponsor, XXX agrees to provide Sponsor with one month of online personal training for each sponsored video created by Sponsor.
  3. TERM AND TERMINATION:

This Agreement shall commence on [Effective Date] and shall continue until terminated by either party.

Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.

Termination may also occur in the event of irreconcilable differences between the parties. In such cases, written notice of termination must be provided to the other party.

  1. REPRESENTATIONS AND WARRANTIES:

Sponsor represents and warrants that:

They have the necessary rights and permissions to create, publish, and promote the sponsor videos on their YouTube channel.

The sponsor videos will comply with all applicable laws, regulations, and YouTube’s terms of service.

The sponsor videos will be created and delivered in a professional and timely manner.

Macw3rk represents and warrants that:

They have the necessary rights and permissions to provide the online personal training services.

The online personal training program complies with all applicable laws and regulations.

  1. CONFIDENTIALITY:

During the term of this Agreement, both parties may disclose certain confidential information to each other. Both parties agree to keep all such confidential information strictly confidential and not to disclose it to any third party without the prior written consent of the disclosing party.

Macw3rk agrees not to publicly disclose any private agreements, discussions, or personal business related to this Agreement to the public or on any public platforms, including but not limited to social media.

  1. DISPUTE RESOLUTION:

Any dispute arising out of or relating to this Agreement shall be resolved through mediation administered by the American Arbitration Association in accordance with its Commercial Mediation Procedures. If the dispute cannot be resolved through mediation, the parties agree to submit to the exclusive jurisdiction of the courts located in California.

  1. GOVERNING LAW:

This Agreement shall be governed by and construed in accordance with the laws of the state of California, without regard to its conflict of laws principles.

  1. ENTIRE AGREEMENT:

This Agreement represents the entire understanding between the Macw3rk and the Sponsor and supersedes any prior agreements, written or verbal, regarding the subject matter herein. Any amendments or modifications to this Agreement must be made in writing and signed by both parties.

  1. AMENDMENTS:

No amendment or modification of this Agreement shall be valid or binding unless it is in writing and signed by both parties hereto.

  1. WAIVER:

The parties agree that no waiver of the rights under this agreement shall be construed as a continuing waiver or as consent to any future or subsequent breaches.

  1. COUNTERPARTS:

This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first above written.
