SPA AGREEMENT.

This SPA Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between Helpful Hands, Contact Info: ______________ (hereinafter referred to as the “Spa”), and ____________________, Contact Info: ______________________ (herein referred to as the “Client”).

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  1. TERM.

The initial term of this Agreement shall be for a period of _______ [Days/Weeks/Months/Years] commencing on the Effective Date herein.

  • SCOPE.

APPOINTMENT DATE: __________________ (Change of the appointment date 24 hours after signing this Agreement shall be considered as termination/cancellation of the Agreement, and deposits shall be forfeited).

The Spa shall offer the following services to the Client:

☐Aromatherapy $10 (flat fee)

☐60 Mins overtime $60  
  • The Client understands that they shall make a deposit prior to or on the Effective Date herein to secure an appointment date/time, which shall go to the Client’s balance.
    • The Client understands and acknowledges that the Spa shall not be obligated to stay past the time that was originally scheduled if prior written notice was offered. The Client shall only receive whatever time is remaining for their individual massage session.
    • For the case of group sessions, the Spa shall not be obligated to make any reschedules and/or refunds if some of the group members drop/opt out.
  • LIABILITY/INDEMNITY.
    • The Client shall not hold the Spa liable for any trigger related allergy reactions if the Client failed to inform the Spa about their allergies. The Client agrees to indemnify the Spa against such legal issues arising under such circumstances.
    • The Client shall not be held responsible for any injuries sustained by the Spa’s employees/therapists while performing their obligations under this Agreement provided that such injuries are not as a result of the Client’s negligence. The Spa and/or the Spa’s employees/therapists agree to indemnify the Client against any claims that may arise from the performance of this Agreement.
  • ASSIGNMENT/WAIVER.
    • The Spa shall not assign its rights or obligations under this Agreement without prior Notice or consent of the Client.
    • The waiver by either party of any breach or failure to enforce any of the terms and conditions of this Agreement at any time shall not in any way affect, limit, or waive such party’s right thereafter to enforce and compel strict compliance with every term and condition of this Agreement.
  • DISPUTE RESOLUTION.

In the unfortunate event that there are disputes arising from the execution of this Agreement or issues relating to the Parties failing to perform their obligations herein, the Parties agree to have a mediation between them.

  • FORCE MAJEURE:

The failure on the part of the Spa to perform their obligation under this Agreement will not be considered as default if such failure is the result of natural calamities, acts or God, Covid-19, extreme adverse disasters and circumstances beyond the control of the parties. The Spa shall be required to inform the Client of such delays and inconveniences promptly, and reschedule affected sessions within the Client’s convenience.

  • MODIFICATION.

This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.

  • GOVERNING LAW/JURISDICTION.

This Agreement shall be governed by and construed in accordance with the laws of ____________ [State/Country] Exclusive jurisdiction and venue shall be in ___________ [State/Country].

Each Party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in any future negotiations, execution, delivery and performance of this Agreement.
