SOCIAL MEDIA MARKETING AGREEMENT.

This Social Media Marketing Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between Larry Morgan owner of the Matrixshopping, Contact Info: ____________ (hereinafter referred to as the “Company”), and Samuel Medas, Contact Info: ____________ (herein referred to as the “Artist”).

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  1. TERM.

The initial term of this Agreement shall be for a period of One Year commencing on the Effective Date herein.

  • SCOPE.

The Artist shall post “Teaser” videos of their upcoming videos on all their official social media accounts and ask their followers to download the Company’s App to view the full video 7 days in advance before the full video is posted online. The Artist shall be keen to mention that their followers must download the Matrixshopping App to be able to watch the Artist’s video.

  • PAYMENT/CONSIDERATION.

The Company shall pay the Artist One Hundred Thousand Guyanese Dollars (G$100, 000) per month for the services covered under this Agreement, payment shall be made on the 1st day of every month.

  • COPYRIGHT/INTELLECTUAL PROPERTY/LIABILITY.
    • The Parties agree that all the copyrights and intellectual proprietary rights as pertaining the Artist’s videos covered under this Agreement shall be owned solely by the Artist. This includes the Artist’s right to reusing the videos for commercial purposes, for resell and advertisement on, and off social media. The Company shall not, under any circumstances, claim any rights to the videos during the term of this Agreement and/or upon termination/cancellation.
    • The Artist shall have continued copyright over the content covered under this Agreement for eternity and they maintain the use, reuse and sell of the videos for as long as they deem fit. The Company agrees and accepts that they shall under no circumstances, upon the expiry of this Agreement, claim the rights herein covered.
    • The Company shall not be held liable for any copyright/proprietary infringement issues arising from any videos posted by the Artist on the Artist’s social media handles and/or the App during the term of this Agreement and upon the termination/cancellation hereof.
  • WAIVER AND ASSIGNMENT.
    • The waiver by either Party of any breach or failure to enforce any of the terms and conditions of this Agreement at any time shall NOT in any way affect, limit, or waive such party’s right thereafter to enforce and compel strict compliance with every term and condition of this Agreement.  
    • No Party shall assign its rights or obligations under this Agreement without prior Notice or consent by the other Party.
  • DISPUTE RESOLUTION.

In the unfortunate event of disputes arising about the performance of this Agreement, the Parties shall use litigation to resolve such matters. If the Artist frustrates and/or breaks this Agreement, the Company shall sue for monetary damages, attorney fees and/or any other damages as shall be awarded by the court.

  • TERMINATION/CANCELLATION.

Parties agree that either Party can cancel/terminate the Agreement at any given time, provided that the intending Party provides the other Party a ______ Day Written Notice on the cancellation/termination. The Company shall ensure to pay the Artist any outstanding balance for the services covered under this Agreement before the termination/cancellation is effected.

  • MODIFICATIONS.

This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.

  • GOVERNING LAW AND JURISDICTION.

The Agreement shall be governed by and construed in accordance with the laws of Guyana. Exclusive jurisdiction and venue shall be in Guyana.

Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.
