SHARE SALE AND PURCHASE AGREEMENT.
This Share Sale and Purchase Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between Inflightflix International Limited, Contact Info: ____________________ (hereinafter referred to as the “Buyer”), and _____, Address ____________ (herein referred to as the “Seller”).
NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:
- TERM
The term of this Agreement shall be for a period of ___________ [Years] commencing on the Effective Date herein.
- SCOPE.
The Buyer shall buy P&P Tourism Ltd from the Seller for 1% of Inflightflix International. The Seller shall sit on Inflightflix for 2 years commencing on the Effective Date herein and attend up to 8 advisory board meetings during that period.
- CONSIDERATION/COST.
The Consideration shall be the sum of One Euro payable on completion by the Buyer and the Seller.
Each Party shall bear its own legal and professional advisers’ costs incurred in connection to with the negotiation and entering of this agreement.
- MODIFICATION.
This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof. No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.
- GOVERNING LAW AND JURISDICTION.
This Agreement shall be governed by and construed in accordance with the laws of the Ireland. Exclusive jurisdiction and venue shall be in Ireland.
