SERVICE AGREEMENT

This Services Agreement is made and entered into on ________________ by and between XXX. (hereinafter referred to as the “Company”) and _____________________ (hereinafter referred to as the “Client”). Together referred to as the “parties”.

WHEREAS the Company is desirous of providing and/or delivering consulting services to help the client to secure financing;

The parties herein have agreed to be legally bound by the following terms and conditions; –

The parties agree that the Company shall provide the client with the following services among others; –

  1. Accounting
  2. Budgeting
  • Business planning

Parties agree and acknowledge that the duties of the company shall include but not limited to the following; –

  1. Representing the client with prospect financiers
  2. Preparing the necessary information for financing which include business plan, financial statements, tax filing among others.

Parties agree that this agreement and the terms herein shall be effective from the date of signing hereof (hereinafter referred to as the “Effective date”) and shall be binding until termination in accordance with the provisions of this agreement.

The parties herein agree that the Company shall receive 5% of the financing amount.

The amount shall be paid within 14 days after the financed amount has been deposited to the client’s account.

Parties agree that the above-mentioned payment shall be made via __________.

The parties agree and acknowledge that either party might come into contact with confidential information. The parties agree not to disclose any confidential information to any third parties without the prior written consent of the other party.

The Client shall indemnify, hold harmless and defend the company and its officers, directors, employees and agents from, against and in respect of any loss, damage, liability, judgment, cost or expense whatsoever, including counsel fees, suffered or incurred by it or him by reason of, or on account of, its status or activities as a consultant to the Client, except for any loss, damage, liability, judgment, cost or expense resulting from willful malfeasance, bad faith or gross negligence in the performance of Company’s duties.

The Company shall indemnify, hold harmless and defend the Client and its officers, directors, employees and agents from, against and in respect of any loss, damage, liability, judgment, cost or expense whatsoever, including counsel fees, suffered or incurred by it or him by reason of, or on account of, willful malfeasance, bad faith or gross negligence in the performance of Company’s duties.

  1. Dispute Resolution.

If there arises any conflict or dispute during the performance of this Agreement, the same shall be negotiated between the parties amicably. If the same fails, the disagreement or dispute shall be referred to mediation in accordance with the applicable laws.

  1. Governing Law.

The provisions and performance of this Agreement shall be construed and interpreted in accordance with the laws of the Province of Ontario, Canada.

Either party to this Agreement may terminate the terms herein by issuing a 30 days’ written notice to the other party stating the reasons for termination.

Any accrued payment before termination shall be made before the said termination.

Either party to this Agreement may modify the provisions herein by the same modification being written and signed by both parties.

Suppose any provision in this Agreement is deemed by a Court of law to be invalid or unenforceable. The same shall be severed from the Agreement, and the remaining provisions shall continue to operate in full force and effect.

Neither party to this Agreement may assign or transfer its rights and obligations without the prior written consent of the other party.

  1. Entire Agreement.

This is the entire Agreement between the parties, and it supersedes any prior negotiations, promises, or contracts, either written or oral.
