SERVICE AGREEMENT
This Service Agreement (hereinafter referred to as the “Agreement”) is made between XXXX(hereinafter referred to as the “Company”) and __________________ (hereinafter referred to as the “Client”).
WHEREAS the Company is in the business of providing Events planning and management services and the client is desirous of obtaining the said services;
THEREFORE, the parties agree as follows; –
- Services.
The Company shall herein provide any of the following services to be selected by the client and any other not listed below to be stated; –

☐Birthday and Anniversary Recognition
☐Employee Appreciation Programs
☐Team Building
☐Presidents Club Trips
☐Retreats
☐Virtual Events & Happy Hours
☐Full culture Organization Creation or Revamp
☐Holiday and other Parties
☐Sales Kickoff
This agreement shall be binding upon the parties until the final service has been rendered.
Parties herein agree that the total cost for the Services provided is _____________. There shall be a ___ % as a deposit which shall be made on or before the signing of this agreement.
Complete payment shall be made before the event.
Parties agree that for large events that require the Company to pay third parties i.e., for venues, decor, etc., the amounts will need to be paid up front to the Company and the difference if any would be refunded to the Client after the event, if the amount is not spent, the costs will be noted in a spreadsheet for the client’s knowledge.
- Late/No Payment.
Parties herein agree and acknowledge that if payment is not made on time, there will be a late fee of ________.
In the event payment has not been made before the event, the Company shall not hold the event, and any balance thereon from the Client shall be paid as the Company was committed and no other work could be handled during that time.
The Client agrees to indemnify, defend and hold harmless the Company and its affiliates, employees, agents, and independent contractors for any injury, property damage, liability, claim, or other cause of action arising out of or related to Services and/or product(s) the Company provides to Client.
In the event the services are canceled, the same must be done before the event and the client will not be subjected to pay any additional fees, the deposit shall not be funded. However, if the Company has provided the services or some of the work towards preparing for the event, the Client shall pay some additional costs above the intital deposit.
7. Governing Law.
The provisions of this agreement shall be governed and interpreted in accordance with the laws of the state of Colorado.
8. Dispute Resolution.
In the event of a dispute between the parties regarding the services herein, the same shall be negotiated between the parties amicably. If this fails, the dispute shall be referred to mediation whose decision shall be final.
Parties shall provide effective notice to each other via email to their respective provided email addresses.
- Entire Agreement.
This Agreement constitutes the final, exclusive agreement between the parties relating to the Services contained in this Agreement. All earlier and contemporaneous negotiations and agreements between the parties on the matters contained in this Agreement are non-binding and superseded by this Agreement.
The parties may amend this Agreement only by the parties’ written consent via proper Notice.
12. Severability.
If any provision herein is deemed unlawful or unenforceable, the same shall be severed from this agreement, and the remaining provisions shall continue in existence and binding upon the parties.
