This Service Agreement is made on __________ 20__ between V&V Sports Inc. (hereinafter referred to as the “Company”) and MMMM (hereinafter referred to as the “Service Provider”). Together referred to as the “parties.”
WHEREAS the Company is supporting a three (3) days Tournament ABC which will have 500 – 600 participants from XXXX to LLLL and the Service Provider herein agrees to support the Company in achieving its mandate; and
THEREFORE, the parties herein agree to be mutually bound by the following terms and conditions; –
The parties agree that the Service Provider shall provide the following services that they will be responsible for; –
- Providing a USAB Tournament Director and Referee to conduct the tournament and Identify 30 USAB Certified Badminton Umpires.
- Responsible for providing Lodging & transportation during the tournament days for the USAB Tournament director, referee, and Umpires.
- Provide a per diem to Umpires, Referee, and Tournament director.
- Provide breakfast, Lunch, Snacks & Dinner to all officials supporting the event.
- Costs of Labor to set up the seating, tournament courts, Stanchions & Sign boards during the event.
- Provide a cleaning crew of 2 people during the entire tournament duration.
- Supply medical staff at the tournament during the entire tournament duration.
- Provide 250 chairs for Line judges and umpires during the.
The parties herein agree that for the provisions of the above-stated services and responsibilities, V&V Sports Inc Frisco Badminton will pay $18,798 to the Company.
The above-mentioned payments shall be made in 15 days and the rest of the details shall be submitted on the requirements page.
The provided location by the Company for the provision of the services is at _____________________________________.
The Service Provider shall indemnify and hold harmless the Company from any loss or liability arising from the performance of the services under this Agreement.
The Service Provider is an independent contractor and shall not be deemed the Company’s employee unless otherwise agreed between the parties herein.
- Dispute/Conflict Resolution.
If there arises any conflict or dispute during the performance of this Agreement, the same shall be negotiated between the parties amicably. If the same fails, the disagreement or dispute shall be referred to a neutral arbitrator whose final decision will be binding upon the parties.
This agreement may be terminated by the Company immediately in the event the Service Provider does not provide the listed services and responsibilities.
- Governing Law.
The provisions and performance of this Agreement shall be construed and interpreted in accordance with the laws of the state of Texas.
Either party to this Agreement may modify the provisions herein by the same modification being written and signed by both parties.
Suppose any provision in this Agreement is deemed by a Court of law to be invalid or unenforceable. The same shall be severed from the Agreement, and the remaining provisions shall continue to operate in full force and effect.
Suppose either party fails to enforce any provision contained within this Agreement. In that case, it shall not be construed as a waiver or limitation of that party’s right to subsequently enforce and compel strict compliance with every provision of this Agreement.
Neither party to this Agreement may assign or transfer its rights and obligations without the prior written consent of the other party.
- Entire Agreement.
This is the entire Agreement between the parties and supersedes any prior negotiations, promises, or contracts, either written or oral.
