SERVICE AGREEMENT
This Service Agreement for Virtual Assistant Educational Content Creation is made on
Friday, July 29, 2022 (hereinafter “Effective Date.
BY AND BETWEEN
Kathy Dahdal, owner of Queen’s Educational Resources and Queen’s Clipart Gallery, online
shops (hereinafter referred to as “Kathy Dahdal” which expression shall wherever the context
so permits, shall mean and includes its administrators, representatives, executors, attorneys,
legal heirs, successors-in-interest and assigns) of the First Part.
AND
[insert your name] an individual, freelancer from Fiverr (hereinafter referred to as “Virtual
Assistant” which expression shall wherever the context so permits, shall mean and includes
its administrators, representatives, executors, attorneys, legal heirs, successors-in-interest and
assigns) of the Other Part.
Hereinafter, Kathy Dahdal and the Virtual Assistant shall individually be referred to as the
“Party” and collectively be referred to as the “Parties”.
In consideration of covenants and agreements contained in this Agreement, and other good
and valuable consideration, the receipt of which is hereby acknowledged, Parties agree to the
following terms and conditions and to be bound thereby:
Term. This agreement shall be valid from the Effective Date until termination.
Payment. For the services rendered, the Virtual Assistant shall be paid as follows;

Intellectual property. Virtual Assistant agrees that any intellectual property and associated
rights owned, discovered, or developed by them, solely or jointly with others, in connection
with their services performed under this Agreement, shall constitute works for hire and shall
automatically, upon their creation or discovery, become the exclusive property of Kathy
Dahdal. Kathy Dahdal shall have the unfettered right to deal with the said content in any way
that she thinks fit. The Virtual Assistant irrevocably and unconditionally waives all rights
relating to the said content to which he may now or in the future be entitled. The Virtual
Assistant shall only use the intellectual property subject to Kathy Dahdal’s terms and consent,
the Virtual Assistant shall not sell, re-sell, share, claim, transfer, copy, give away, modify or
otherwise deal with the content created unless as instructed by Kathy Dahdal.
Relationship of the Parties. The relationship of the parties hereto is that of an independent
contractor. Accordingly, the Parties hereto are not deemed agents, partners, or joint venturers
of the others for any purpose due to this Agreement or the transactions contemplated thereby.
Non-assignment. The Virtual assistant shall not transfer or assign this agreement without
Kathy Dahdal’s consent. However, Kathy Dahdal may transfer or assign this agreement or
subcontract its obligations hereunder at any time without the Virtual Assistant’s consent.
Confidentiality. All non-public, confidential or proprietary information of Kathy Dahdal,
disclosed by Kathy Dahdal to the Virtual assistant, whether disclosed orally or disclosed or
accessed in written, electronic or other form or media, and whether or not marked, designated
or otherwise identified as "confidential" in connection with this Agreement is confidential,
solely for the use of performing this Agreement and may not be disclosed, copied, or dealt
with in any similar manner unless authorized in advance by Kathy Dahdal in writing. Upon
Kathy Dahdal’s request, the Virtual Assistant shall promptly return all documents and other
confidential materials received from Kathy Dahdal.
This Section does not apply to information that, at the time of disclosure, (i) is or has been
available publicly, other than for the reason of disclosure directly or indirectly by the Virtual
Assistant; or (ii) has been made available to the Virtual Assistant and not bound by the
obligation of confidentiality, or confidential information obtained independently by the
Virtual Assistant without assistance, utilization, or use of confidential information.
IN WITNESS WHEREOF THE PARTIES HERETO HAVE PRESCRIBED THEIR
SIGNATURES ON THE DAY, MONTH AND YEAR FIRST WRITTEN ABOVE.
