Service Agreement: Bronx Academy of Promise Charter School
This service agreement will take effect Monday, November 29th 2021 and end Friday, May 20th 2022. The
parties entering agreement include, Bronx Academy of Promise Charter School located at 1349 Inwood
Avenue, Bronx, NY 10452 and Black Squares Network L.L.C 2340 South 39th Street Apt. B St. Louis,
Missouri 63110, also individually referred to as the “Party”, and collectively the “Parties”
- Services. The Service Provider, Amadou Kane of Black Squares Network L.L.C, shall perform the
services listed in this Section 1 (the “Services”).
1.1. A Black Squares coach, Amadou Kane, will visit Bronx Academy of Promise five days a
week to instruct a class of 15 to 20 students in Casual play, Advanced play, Chess
instruction and
Visualization training.
1.2. Chess Club Is open to levels from beginners to advanced
i Casual play, defined as beginners playing to get acquainted with the game and pieces.
ii Chess Instruction, defined as teaching chess fundamentals, tactic training, and
strategies.
1.3. Chess Team is for advanced players. Traveling team (local and nationally).
i Advanced play, defined as games being played with the intention of implementing
instructions from the day.
ii Visualization training, defined as tactic completion and Blindfold Exhibitions.
iii ChessKid Software/Accounts
- Compensation. Bronx Academy of Promise Charter School agrees to pay Black Squares Network
L.L.C $ 200 per class for 153 classes being taught. If the Company offers Chess Club and Chess
Team, the amount will be $ 175 per class for 153 days ( 306 classes) being taught.

Amount Due at Billing Period:

- Expenses. Bronx Academy of Promise Charter School agrees to reimburse Black Squares Network
L.L.C for all expenses incurred as a result of performing the services. Black Squares Network L.L.C
agrees to submit all expenses to Bronx Academy of Promise Charter School for approval prior to
incurring the expense. All expenses must be approved in writing. Bronx Academy of Promise
Charter School will not be liable to reimburse Black Squares Network L.L.C for any expense(s) that
was not pre-approved. - Payment. Black Squares Network L.L.C shall submit a Bi-Weekly invoice amount to approximately
$ 3500 for 20 classes taught to Bronx Academy of Promise Charter School. Invoices shall be paid to
Black Squares within 10 days. - Term. The term of this agreement shall commence on the effective date, as stated above, and
continue until Friday, June 3rd, 2022, unless otherwise terminated per the terms of this agreement. - Termination.
6.1. Either Party may terminate the agreement at any time prior to the start of the fourth billing
period with written notice to the other Party. In the event Bronx Academy of Promise Charter
School terminates the agreement, Bronx Academy of Promise Charter School shall remain
obligated to pay Black Squares Network L.L.C for any services performed up to the date of
termination and any expenses approved, but not paid, prior to the date of termination. In the
event Black Squares Network L.L.C terminates the agreement, Black Squares Network L.L.C

shall reimburse Bronx Academy of Promise Charter School any amounts previously paid to
Black Squares Network L.L.C for which Black Squares Network L.L.C has not yet
performed the services.
6.2. This agreement will automatically terminate when both Parties have performed all of their
obligations under the agreement and all payments have been received.
- Relationship of the Parties.
7.1. Non- Compete. The Parties understand that during the term of this agreement the institution
shall not engage or enter into any agreements that conflict with the Service Provider’s
obligations under this Agreement.
7.2. Independent Contractor. Black Squares Network L.L.C is an independent contractor.
Neither Party is an agent, representative, partner, or employee of the other Party. - Dispute Resolution.
8.1. Choice of Law. The Parties agree that this agreement shall be governed by the State of
New
York in which the duties of this agreement are expected to take place.
8.2. Negotiation. In the event of a dispute, the Parties agree to work towards a resolution
through good faith negotiation.
8.3. Mediation or Binding Arbitration. In the event that a dispute cannot be resolved through
good faith negotiation, the Parties agree to submit to binding mediation or arbitration.
8.4. Attorney’s Fees. In the event of Arbitration and/or Mediation, the prevailing Party will be
entitled to its legal fees, including, but not limited to, its attorneys’ fees. - General.
9.1. Assignment. The Parties may not assign their rights and/or obligations under this
Agreement.

9.2. Complete Contract. This agreement constitutes the Parties entire understanding of their
rights and obligations. This agreement supersedes any other written or verbal
communications between the Parties. Any subsequent changes to this agreement must be
made in writing and signed by both Parties.
9.3. Severability. If any section of this agreement is found to be invalid, illegal, or unenforceable,
the rest of this agreement will still be enforceable.
9.4. Waiver. Neither Party can waive any provision of this agreement, or any rights or obligations
under this agreement, unless agreed to in writing. If any provision, right, or obligation is
waived, it is only waived to the extent agreed to in writing.
Service Agreement
- Notices.
All notices under this agreement must be sent by email with read receipt requested or by certified or
registered mail with return receipt requested. Notices shall be sent as follows:
