SERVICE AGREEMENT.

This Service Agreement (hereinafter referred to as the “Agreement”) is made and entered on this
_ day of 2019 (the “effective date”), between RJ Enterprises, LLC 42 Broadway#12-
436, New York, NY 10004-1617, 3476656949 (hereinafter referred to as the “Company”), and
___, Address __ (herein referred to as the “Advertisement Team”).
NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties
hereto, the Parties covenant and agree as follows:

  1. TERM.
    The initial term of this Agreement shall be for a period _ [Days/Weeks/Years], commencing
    on the Effective Date herein.
  2. SCOPE.
    The Advertisement Team shall provide the Company with social media video advertisement
    services. The Advertisement Team shall promote the Company’s videos on the social media
    platforms. The services include;
    a. 100 photos of the cooking and presentation.
    b. Videos of the cooking and presentation.
    NOTE: The Advertisement Team is prohibited against sharing the Company’s photos and videos
    covered under this Agreement on their personal social media platforms such as Facebook,
    Twitter, YouTube etc.
  3. PAYMENT.
    The Company shall pay the Advertisement Team Three Hundred Dollars ($300) for the
    services provided for under this Agreement, One Hundred Dollars ($150) upon the signing of
    this Agreement while the balance shall be paid once the Company has received the edited photos
    and videos and is satisfied with production. The payment shall be as follows;
    i. Two Hundred Dollars ($200) for video production included editing and voice over
    services.
    ii. One Hundred Dollars ($100) for 100 pictures of the food.
    NOTE: All payments covered under this Agreement shall be made via Cash App.
  4. REPRESENTATION AND WARRANTY.
    The Parties each represents and warrants that they are NOT party to any other agreement that
    would restrict this Agreement.

Each Party represents and warrants that, for the purpose of this Agreement, no third party can
claim any rights to any intellectual property or other proprietary rights possessed by the said
Party as it relates to the concept covered by this Agreement.

  1. GENERAL PROVISIONS, GOVERNING LAW AND JURISDICTION.
    This Agreement contains the entire Agreement between the parties relating to the subject matter
    hereof and supersedes any and all prior agreements or understandings, written or oral, between
    the parties related to the subject matter hereof. No modification of this Agreement shall be valid
    unless made in writing and signed by both parties hereto.
    This Agreement shall be governed by and construed in accordance with the laws of the State of
    New York. Exclusive jurisdiction and venue shall be in the State of New York.
    Each party represents and warrants to the other that such party has acted in good faith, and agrees
    to continue to so act, in the negotiation, execution, delivery, performance, and any termination of
    this Agreement.
    IN WITNESS WHEREOF, this Agreement has been executed by the parties as of the Effective
    Date.
