SALE OF PROPERTY AGREEMENT.

This Sale of Property Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between Megan Colyer, Contact Info: __________ (hereinafter referred to as the “Seller”), and Rusty Williams, Contact Info: ____________ (herein referred to as the “Buyer”).

WHEREAS, this Agreement is a contract in place of contract and testament already signed between the Parties concerning the same Property covered herein, and to cover the basis that the said contract and testament was nullified due to Parties not fulfilling their obligations.

WHEREAS, the Property herein refers to _________________________________________.

WHEREAS, the Seller hereby swears and warrants that they are the sole and rightful owner of the said Property.

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  1. SCOPE.
    1. The Seller sold said property via quitclaim deed to the Buyer for the amount of Ten Thousand Dollars ($10,000) in the year 2019, contingent upon him filing with the Piper County Records Office within 30 days. This contingency was not met, therefore the original contract between the Parties was nullified.
    1. The Buyer attests that they have not and have never held the right to sell the Property, in part or in full, to any person or entity, and that they shall hold complete and full liability if otherwise.
    1. By signing this Agreement, on the Effective Date herein, the Seller warrants that there are no liens on the Property.
  2. REFUND.

The Seller shall offer partial refund of Eight Thousand Dollars ($8, 000) to the Buyer, which shall be paid before the _____ day of ____ 2021. The Buyer has acknowledged this partial payment and it shall serve as the full compensation under this Agreement.

  • MODIFICATIONS.

This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.

  • GOVERNING LAW/JURISDICTION.

This Agreement shall be governed by and construed in accordance with the laws of the State of ______________, USA. Exclusive jurisdiction and venue shall be in _________________, USA.

Each Party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in any future negotiations, execution, delivery and performance of this Agreement.
