(The “Distributors”)

SALE AGREEMENT

This Agreement is made on this _________________ Between ______________ (hereinafter referred to as the “brand”) and _____________________ (hereinafter referred to as the “distributors”) together referred to as “parties”.

WHEREAS the brand has agreed to send/let its coffee brand (hereinafter referred to as the “product”) and the distributors have decided to sell the product described hereinbelow and be bound by the following terms of the sale; –

1. Property.

Parties herein agree that the product being sold belongs to the brand, and the product is coffee with the brand name ___________________. 

2. Term.

Parties agree that the term of this Agreement shall be for a period of __________.

3. Sale Price and Compensation.

The agreed sale price by the distributor of the product is ___________ which is broken down as follows; – 

The above-mentioned agreed sale price shall be remitted to the brand on a _________ basis to the following account details;

The distributor will retain the payment made over the agreed sale price as compensation for the services provided. 

4. Delivery.

The brand shall make all the necessary arrangements and plan for delivering the products to the distributors.

The distributors shall sign and acknowledge the delivery of the product.

5. Warranties

The brand warrants that; –

1. It has the full authority to enter into and execute this Agreement.
2. To the best of its knowledge, there are no ongoing or anticipated claims against the brand.

The distributor warrants that; –

1. It has the full authority and capacity to execute and agree to the terms of this Agreement.
2. It has the facilities available to complete the terms under this Agreement.
3. Disclosure.

Upon reasonable request by the brand, the distributor agrees to make available books, records, and documents of accounts and access the products’ sales.

The distributor will disclose any query forwarded by the brand regarding the products. 

7. Dispute Resolution.

In case of any dispute or conflict that arises from the non-performance of the terms in this Agreement, parties mutually agree to negotiate and resolve the dispute. If the same fails, it shall be referred to a single arbitrator, whose decision shall be binding and final.  

8. Termination

Parties may terminate this Agreement by issuing 30 days’ prior written notice to the other party if the terms under this Agreement have been violated and the sales and payments have not been carried out. 

9. Intellectual Property.

The parties agree that the brand of the product is the brand’s intellectual property, and no transfer of ownership shall be construed from the terms and obligations under this Agreement.

10. Third-Party Contracts.

The terms of this Agreement should not be construed as a transfer of any third-party contracts with the brand if the existing agreements between the brand and the third party do not provide for the assignment of the contract.

11. Severability.

Suppose a provision of this Agreement is found by a court of competent jurisdiction to be invalid and unenforceable. It will be severed from the Agreement, and the other provisions will continue and not be affected. 

12. Expenses.

Each party shall bear its costs in relation to fulfilling the terms of this Agreement.

13. Governing Law.

The terms of this Agreement will be governed by the Laws of _______________.

14. Waiver.

A waiver by any of the parties herein of any of their rights in this Agreement does not infer a further waiver of that right or any other right provided for in this Agreement.

15. Entire Agreement.

The terms and obligations in this Agreement shall be construed to be the entire Agreement between the parties in relation to the subject herein.

In the performance of the conditions in this Agreement, time is of the essence.

IN WITNESS WHEREOF, the parties have signed this Agreement on the date indicated hereinbelow.
