The agreement is well prepared and covers the interest of both parties in a reasonable manner. I’ve noted a couple of clauses that needed some attention and the same is addressed below.
Under “IX. Term and Termination”
- Under sub-clause B, I recommend the addition of an exception to the discharge of all “all rights and liabilities” upon termination. This will secure rights and liabilities already accrued before termination. Therefore, the consultant will be compensated for services already provided before the agreement was terminated. If no exception is introduced, the consultant will be agreeing to discharge the client of all liabilities upon termination and the same can be decided in favour of the client should a dispute arise. In response to the above, I have added sub-clause C to remedy the risk.
