RELEASE OF LIABILITY AND NON-DISCLOSURE AGREEMENT
This Release of Liability and Non-Disclosure Agreement (hereinafter referred to as
the “Agreement”) is made between MATHCO HEALTH CORPORATION, MCNB
USA CORPORATION, MATHCO HEALTH CORPORATION, HOOKAHZZ LLC,
JKWHOLESALE Inc. of 2647 Gateway Rd, suite 105-418, Carlsbad, Ca 92009
(hereinafter referred to as the “Company”), and BRITTANY FJELSTAD of 1202
Borden Rd. Spc. 130, Escondido, CA 92026 (hereinafter referred to as the “former
employee”). The parties agree as follows; –
1. Purpose.
The agreed purpose of this agreement is for the former employee of the Company to
release any liabilities for late wages, waiting time penalty, and any other against the
Company.
2. Compensation.
The former employee herein acknowledges receipt of $2,127 which was already
paid. The balance of $1,873 shall be paid in lumpsum upon signing of this
agreement.
3. Confidential Information.
Parties herein agree that Confidential information is proprietary information relating
to the Company’s business, including but not limited to business and financial
records, intellectual property, proprietary data, and any other information that is
disclosed that will affect the business of the Company.
The former employee agrees that all trade secrets and confidential information
disclosed during her employment with the Company, will be kept strictly confidential
and will further provide means to ensure complete protection to the Company should
a question of unauthorized use or disclosure of such information arise.
The former employee agrees that the Confidential Information is of extreme value to
the Company and would cause irreparable harm if disclosed to other persons or
utilized by the former employee for unauthorized purposes.
4. Non-Disclosure.
Without the prior written consent of the Company, the former employee agrees and
undertakes not to; –
i. Disclose any confidential information to any third party for the agreed period
of 10 years from the date of signing this agreement;
ii. Make any copies and distribute any document regarded as Confidential
Information;

5. Release of Liability.
The former employee hereby waives any claims that they may have now and, in the
future, release from all liability, and agrees not to sue the Company, its officers,
agents, representatives, subcontractors, or employees (hereinafter referred to as
“Staff”) for any loss sustained as a result of the employment provided by the
Company.
The former employee further agrees that if they violate the terms of this agreement
and attempt to bring a lawsuit against the Company or disclose any confidential
information, they shall be held responsible for the attorney’s fees, any costs incurred
in defending such action, and any damages that might arise out of the lawsuit,
payment of 10 million dollars to the Company.
6. Dispute/Conflict Resolution.
In the event of a dispute between the parties herein, the parties shall first attempt to
resolve the dispute through mediation. If mediation fails, the dispute shall be referred
to litigation in accordance with the laws of the State of California.
7. Governing Law.
This Agreement shall be governed and construed in accordance with the laws of
California.
8. Severability.
If any part of this Agreement is deemed invalid or unenforceable, the same shall be
severed from this Agreement, and the remaining provisions shall continue to be in
effect.
9. Waiver.
The failure of any party to exercise any right or provision of this Agreement shall not
be a waiver of any prior or subsequent rights.
10. Assignment.
The parties herein may not assign or transfer their rights or obligations under this
Agreement without the parties’ prior written consent.
