REFERRAL AGREEMENT
This Referral Agreement (hereinafter referred to as the “Agreement”) is entered into on this _______ day of ____________ 2022 between _______________________ (hereinafter referred to as the “Company”) on one part and Halo, Inc. (hereinafter referred to as the “Referral Company”). Together referred to as “parties”.
- Purpose. The Company is selling software and software development and wishes to gain more customers/clients to buy the product. The Referral Company is in a position to refer potential customers/clients to the products of the Company by also providing marketing services.
The Company will pay the Referral Company for the potential customers/clients referred to it under this Agreement.
- Payment. The Company shall pay the Referral Company _____ for each successful referral who becomes a customer/client of the Company.
The Company shall pay the Referral Company _____ for any valid referral who does not become a customer/client of the Company through no fault of the Referral Company.
The payment to the Referral Company shall be made within ten days of a completed referral.
- Term. This Agreement shall commence on ____________________ and will continue until ___________ . Unless otherwise terminated.
- Relationship. The Referral Company is an Independent Contractor and agrees and acknowledges that the Company is free to accept or reject any proposal that the Referral Company provides.
- Confidentiality. During the cause of this Agreement, it may be necessary for the Company to share proprietary information to the Referral Company to seek out potential customers/clients.
The Referral Company will not share or disclose confidential information with anyone apart from during the performance of this Agreement.
This clause shall remain in full force even after the termination of the Agreement for any reason.
- Termination. The Parties to this Agreement may terminate it at any time and for any reason by issuing a ___ days’ written notice to the other party.
Upon termination, the Company shall pay the Referral Company any of its payments due (subject to the provisions of clause 2 above) prior to the date of termination.
- Governing law. The Parties herein agree that this Agreement shall be governed by the State and/or Country laws in which both Parties do business. If the Parties do business in different States and/or Countries, this Agreement shall be governed by the laws of ________.
- Amendments. Both parties shall make any amendments or modifications to this Agreement in writing or signed.
- Entire Agreement. The parties agree that this Agreement represents the agreement between the parties and supersedes any prior written or oral agreements.
