- Purpose of the Agreement
The purpose of the agreement is for the Lecturer to commission work for Domestika organization for a specified period of time. According to this Agreement, the period of time is 3 years. In return, the Lecturer gets paid a lump sum of US $ 1500 for developing course content.
For teaching services, the Lecturer will be paid as follows: 10% of the course price on the Platform less the associated transaction costs, 10% of the monies from platform subscription associated with viewing minutes of his Course.
The work developed by the Lecturer should be correctly attributed in case the lecturer uses images, logos or illustrations etc. from another person. The work should not infringe on a third party’s intellectual property rights. In case the work infringes on any person’s intellectual property rights, Domestika will not be responsible for that. Whenever required, the Lecturer will be required to provide and demonstrate the necessary authorization.
After the lecturer submits their Work to Domestika, the Lecturer gives up their rights to reproduction, distribution, public disclosure, voice rights etc. The Lecturer’s assignment of rights to Domestika is irrevocable. Additionally, Domestika has the power to partially or totally assign its rights and obligations to any third party.
Note: The Lecturer can waiver provisions of this Agreement
- Use of Lecturer’s content
Domestika may use the Lecturer’s Course content as follows:
- Public cinema or non-cinema screening.
- Reproduction of the course or part thereof for its sale, rental or loan, or in any other format for both private and public.
- Distribution of the course in electronic format along with other courses or on its own.
- Use of extracts or fragments of the course.
- Provision of services by the Lecturer
The lecturer may be required to:
- Teach students on the platform.
- Answer questions posed by student
- Adopt guidelines and methodology as indicated by Domestika
- Inform Domestika of the outcome of the professional dealings.
- Term and Termination
The term of the agreement is 3 years. However, Domestika can terminate the agreement by serving the lecturer a 15 days’ notice and the Lecturer can terminate the agreement by serving Domestika a 30 days written notice. The assignment of rights to Domestika will subsist even after the termination of the Agreement.
- Exclusivity
During the term of the Agreement the Lecturer is not supposed to provide teaching services to any other platform whose business is related to the commercialization and distribution of audiovisual courses and is a competitor of DOMESTIKA i.e. Udemy, Skillshare, Crehana and CreativeLive. In case the lecturer has active courses on those platforms, the lecturer is supposed to maintain exclusivity on the theme and final project for the DOMESTIKA course.
