PHOTOGRAPHY AGREEMENT.

This Photography Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “effective date”), between Clinton Foster Photography, Contact Info: _____________ (hereinafter referred to as the “Photographer”), and ___________, Contact Info: __________________ (herein referred to as the “Client”).

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  • TERM.

The initial term of this Agreement shall be for a period ____ [Days/Weeks/Months] commencing on the Effective Date herein.

  • SCOPE.
    1. The Photographer shall provide the Client photography services that shall include ____________________________________________________________________________________________________________________________________________________________________________________________________________________.
    2. The Client shall grant the Photographer a period not exceeding _____ days for any post production services and editing. (The Parties shall negotiate any extra charges).

  • PAYMENT/REFUNDS
      1. The Client shall pay a _____ Dollar non-refundable booking fees to secure the Date. The Client shall pay ______ Dollars for the services covered under this Agreement, _____% down payment and the balance paid upon completion of the project.
      2. In the event that the Client terminates/cancels this Agreement more than 72 hours before the scheduled date, they shall receive a full refund of the down payment made. 
      3. No refunds shall be made if the Client terminates/cancels this Agreement less than 72 hours to the scheduled date.
  • LIABILITY/INDEMNITY/WAIVER.
      1. The Photographer shall not be held responsible for any injuries sustained by the Client while they are performing their obligations under this Agreement, provided that such injuries are not as a result of the Photographer’s negligence. The Client agrees to defend and indemnify the Photographer against such issues and liability.
      2. The waiver by either party of any breach or failure to enforce any of the terms of this Agreement at any time shall not in any way affect, limit, or waive such Party’s right thereafter to enforce and compel strict compliance with every term and condition of this Agreement.
  • FORCE MAJEURE.

The failure on the part of the Photographer to perform their obligation under this contract will not be considered as default if such failure is the result of natural calamities, acts or God, Covid-19, extreme adverse disasters and circumstances beyond the control of the parties. The Photographer shall inform the Client of such inconveniences promptly, and reschedule the photo sessions within the Client’s convenience and/or make full refund of the down payment.

  • TERMINATION/CANCELLATION.

The Parties acknowledge that either Party can terminate/cancel this Agreement at any time provided that they issue a 72 Hour Written Notice on the same.

  • MODIFICATION, GOVERNING LAW AND JURISDICTION.
    1. This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.
    2. This Agreement shall be governed by and construed in accordance with the laws of _____________ [State/Country]. Exclusive jurisdiction and venue shall be in ___________ [State/Country]. 
    3. This Agreement shall be binding upon and inure to the benefit of the Photographer and the Client and their respective successors and assigns, provided that the Client may not assign any of their obligations under this Agreement without the Photographer’s prior written consent.
