PHOTOGRAPH SALE AGREEMENT

This Agreement effective as of _________________________________ (‘Effective Date’) is entered into by and between _______________________________ (‘Project Manager’) AND __________________________________ (‘Photographer’). Individually referred to as ‘Parties’, collectively referred to as ‘Parties’. The Parties intend to be legally bound as follows:

  1. Purpose of the Agreement. The Project Manager will collaborate with the Photographer to sell some of his photographs to customers and others sold as NFTs.
  2. Term. The term of the Agreement will commence on ____________________ and continue effectively for ________weeks.
  3. Consideration. The proceeds from the sale of the photographs will be shared between the Photographer and the Project Manager. The Photographer will retain 70% of the total proceeds whilst the Project Manager will get 30% of the total proceeds. And for the photographs sold as NFTs, 10% royalty on secondary sales will be accorded to the Photographer.
  4. Mutual Cooperation. Both Parties agree to cooperate for the duration of this Agreement. Photographer agrees to use discretion, skill and experience to produce the best shots possible. The Project Manager agrees to employ skill and expertise in providing management. 
  5. Independent Contractor. Nothing herein shall be taken to establish any partnership, joint venture, agency, or employment relationship. Photographer is, and at all times will be, an independent contractor. Photographer shall receive no benefits from the Project Manager. Photographer shall be responsible for all of Photographer’s own taxes, and no amounts will be withheld by Project Manager.
  6. Confidentiality. The Parties acknowledge that the existence and the terms of this Agreement and any oral or written information exchanged between the Parties in connection with the preparation and performance of this Agreement are regarded as confidential information. Each Party shall maintain confidentiality of all such confidential information, and without obtaining the written consent of the other Party, it shall not disclose any relevant confidential information to any third parties.
  7. Dispute Resolution. Any dispute arising regarding the subject matter of the agreement shall be solved by negotiation between the parties.
  8. Governing Law. This Agreement will be construed and governed by the laws of ________________
  9. Entirety. This Agreement constitutes the entire agreement between the Parties and supersedes any prior or contemporaneous understandings, whether written or oral.
