PERSONAL GUARANTEE
This Guarantee is made on this ____________________ between MATHIEU FROHLICH (hereinafter referred to as the “guarantor”) and WALTER J. WILCOX “a.k.a Wilcox” (hereinafter referred to as “investor”)
- BACKGROUND
The investor herein has agreed to enter into an investment arrangement with BIP REFERRALS, LLC (hereinafter referred to as the “Company”).
The investor has requested security in respect of his investment under the arrangement with the company if the startup company fails.
- GUARANTEE
The guarantor hereby guarantees the investor to pay the guaranteed obligations under the investment agreement with the company if it does not pay the guaranteed amounts when due.
- PAYMENTS
All the sums payable by the company shall be paid in full to the lender by the guarantor once the same becomes due and the company has yet to settle.
The payment is for $______________ to be paid at any time after 12 months from the date of investment.
- REVOCATION OF GUARANTEE
The parties herein agree that this personal Guarantee will not be revoked prior to the settlement of the guaranteed amounts under the investment arrangement with the company.
- DISPUTE/CONFLICT RESOLUTION
This personal Guarantee and any dispute that may arise in the performance of the terms herein shall be resolved by the appointment of a single arbitrator whose decision shall be final and binding upon the parties.
- GOVERNING LAW
This personal Guarantee and the terms herein shall be governed by the laws of the state of Delaware.
In witness thereof, the parties agree to be legally bound unconditionally by signing below to the terms mentioned above from the below-stated dates.
