PARTNERSHIP AGREEMENT.
This Partnership Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “effective date”), between ___________, Address __________ (hereinafter referred to as the “Investor”), and ____________, Address ____________ (herein referred to as the “Partner”).
NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:
- TERM.
The initial term of this Agreement shall be for a period of One Year commencing on the Effective Date herein, subject to being renewed with new terms.
- SCOPE.
The Investor shall ________ Dollars with the Partner. This amount shall repaid back to the Investor every Three months for profit scheduling _______________________________________________________________________________________________________________________________________________.
- TERMINATION/CANCELLATION.
The Parties acknowledge that any Party can terminate/cancel this Agreement at any time provided that they issue a ___ day Written Notice on the same. Upon termination of this Agreement, the Partner shall pay the Investor the remaining investment funds in full.
- CONFIDENTIALITY.
- The Parties agree to keep the business concept confidential, that disclosure of any details of the business concept or any other details that the Parties will ONLY happen when and how needed, upon written consent of each Party herein. The Parties agree that they shall do everything necessary in their personal capacity and as a team to always maintain the confidentiality of the business.
- The Investor agrees that they shall NOT disclose the amount they are investing under this Agreement to a third party without a written consent from the Partner.
- GENERAL PROVISION, GOVERNING LAW AND JURISDICTION.
- This Agreement contains the entire Agreement between the Partners relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof. No modification of this Agreement shall be valid unless made in writing and signed by both Partners hereto.
- This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, USA. Exclusive jurisdiction and venue shall be in Georgia, USA.
- Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.
