NON-COMPETE AGREEMENT
EFFECTIVE DATE AND PARTIES
This non-compete agreement (the “agreement”) is entered into on the ______ day of ________________, 20____.(“effective date”), between ____________________________________________(the “Employee”) and JFW PHOTOGRAPHY INC (the “Company”) located at ______________________________________________________________________________________.The Company and Employee may each be referred to as a “Party” or collectively as the “Parties” in this agreement.
WHEREAS, the Company is in the business of real estate photography
WHEREAS, the Employee and the Employer have entered into a formal employment agreement where the Employee will perform duties related to their position as a ____________________________[Job Title]; and
WHEREAS, the Employee agrees to the restrictions described herein as binding.
Parties agree to the following terms and conditions and to be bound thereby:
NON-COMPETITION
For the duration of this agreement, and any subsequent agreement executed for the same or similar purpose, the Employee will not work as an employee, officer, director, partner, consultant, agent, owner or engage in any other capacity with a competing company or engage in the businesses in which the Company engages in or in which the Company has an actual intention, to engage in, within any geographic area in which the Company is then conducting such business. Specifically, the employees are prohibited from doing their own real estate photography or drones of properties. They may undertake Portraiture and other aspects of photography just not with the Company’s clients or perspective clients.
EMPLOYEE ACKNOWLEDGEMENTS
The Employee acknowledges that they have been provided with the opportunity to negotiate this agreement and to seek legal counsel before signing this agreement. In addition, the employee acknowledges that the restrictions imposed are fair, reasonable and necessary to protect the Company’s legitimate business interests and will not place an undue burden upon their livelihood in the event of enforcement of the restrictions.
This agreement is governed by the laws of the State of Massachusetts, excluding its conflict-of-laws principles.
By signing below, the Parties agree to be bound by the terms of this agreement as of the Effective Date above.
