NFT DEVELOPERS AGREEMENT

This NTF DEVELOPERS AGREEMENT (‘’this Agreement’’) is entered into on [DATE] (Effective date) by and between the respective developers with the following names and addresses:

The above named shall be referred to as “Parties/Team member” in this agreement.

NOW, THEREFORE, in consideration of the premises, and of the mutual promises and undertakings herein contained, the parties, intending to be legally bound, do agree as follows:

The Agreement

This agreement is entered into for the purpose of mint sales.

The parties agree that they shall split the sales equally amongst themselves.

Parties further agree to split the royalties equally among the team members as long as they continue working with the community.

This section shall be read together with section 4 on “Fees and Proceeds.”

Intellectual Property

The Parties acknowledge and agree that they will co- hold all intellectual property rights in any work product resulting from this agreement including, but not limited to, copyright and trademark rights.

Fees and Proceeds

The following fees and proceeds breakdown will apply to the transactions herein:

A total of 158,000 ADA will be contributed among tem members.
7000 ADA cat available to the mint.
50% of the total mint sales will be contributed to the DAO treasury as donation towards helping thousands of helpless stray cats through The Feline Foundation. The other 50 % shall be divided amongst the team members equally.

Royalties.

CNFT Royalties will be 10% (From transaction). 2.5% shall account for the CNFT fees, 2.5% shall go to the team and 5% shall go to the DAO which the community can vote to increase royalties to fund the DAO further.
The rest of CNFT Royalties shall be split equally among the team members provided the member continues working with the community.

Term

This Agreement shall be operative from the date of execution of this Agreement (the effective date) and shall run until the completion of the Services or until the Agreement is terminated according to this Agreement.

Confidentiality
Neither Party will use, copy, adapt, alter or part with possession of any information of the other which is disclosed or otherwise comes into its possession under or in relation to this Agreement and which is of a confidential nature. This obligation will not apply to information which the recipient can prove was in its possession at the date it was received or obtained or which the recipient obtains from some other person with good legal title to it or which is in or comes into the public domain otherwise than through the default or negligence of the recipient or which is independently developed by or for the recipient.

Termination

Either Party to this Agreement may terminate this Agreement upon a written notice of termination to the other Party. Unless otherwise mutually agreed to in writing, upon the termination of this Agreement, any arrangement for services then in effect will immediately terminate.

Entirety

This contract represents the entire agreement between the parties and supersedes any previous written or oral agreement. This agreement may be modified at any time, provided there is written consent of both parties to this contract.

Severability

The parties agree that if any portion of this contract is found to be void or unenforceable, it shall be struck from the record and the remaining provisions will retain their full force and effect.

Jurisdiction

This contract shall be governed, interpreted, and construed in accordance with the laws of [STATE, PROVINCE OR TERRITORY].
