MOTOR MEDIA SERVICE AGREEMENT

This Service Agreement (the “Agreement”) is made and entered into as of [Date], (the “Effective Date”) by and between XXX, a company organized and existing under the laws of the State of Utah, United States, with its principal place of business at [Company Address] (hereinafter referred to as “Motor Media”), and [Client Name], whose principal place of business is located at [Client Address] (hereinafter referred to as the “Client”).

RECITALS

WHEREAS, Motor Media is engaged in providing various digital marketing services; and

WHEREAS, the Client desires to engage Motor Media to provide the services as described in the selected package (hereinafter referred to as the “Services”).

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties hereto agree as follows:

  1. Term of Contract
    • The term of this Agreement shall be for a period of 12 months, commencing on the Effective Date, unless terminated earlier in accordance with the provisions of this Agreement.
    • Upon expiration of the initial 12-month term, this Agreement shall automatically renew for successive 12-month terms unless either party provides written notice of termination at least 30 days prior to the expiration of the then-current term.
  2. Services
    • Motor Media agrees to provide the Client with the selected package of Services, as described below:
      • Package: Economy Cruiser
        • Search Engine Marketing: Motor Media will optimize the Client’s online presence by implementing effective search engine marketing strategies.
        • Email & SMS Marketing Automation: Motor Media will create and automate email and SMS marketing campaigns to enhance customer engagement.
        • Social Media Management: Motor Media will manage the Client’s social media platforms, including content creation, posting, and engagement.
      • Package: Premium Performance
        • Search Engine Marketing: Motor Media will optimize the Client’s online presence by implementing effective search engine marketing strategies.
        • Email & SMS Marketing & Automation: Motor Media will create and automate email and SMS marketing campaigns to enhance customer engagement.
        • Social Media Management: Motor Media will manage the Client’s social media platforms, including content creation, posting, and engagement.
        • Website Management & Conversion Optimization: Motor Media will oversee the Client’s website, ensuring its functionality and optimizing it for maximum conversion rates.
        • Influencer Marketing: Motor Media will collaborate with relevant influencers to promote the Client’s brand and products/services.
      • Package: Hyper Performance
        • Search Engine Marketing: Motor Media will optimize the Client’s online presence by implementing effective search engine marketing strategies.
        • Email & SMS Marketing & Automation: Motor Media will create and automate email and SMS marketing campaigns to enhance customer engagement.
        • Social Media Management: Motor Media will manage the Client’s social media platforms, including content creation, posting, and engagement.
        • Website Management & Conversion Optimization: Motor Media will oversee the Client’s website, ensuring its functionality and optimizing it for maximum conversion rates.
        • Influencer Marketing: Motor Media will collaborate with relevant influencers to promote the Client’s brand and products/services.
        • Branding Optimization: Motor Media will provide strategies and recommendations to enhance the Client’s brand image and positioning.
        • Traditional Marketing (EXCLUSIVE): Motor Media will execute traditional marketing campaigns exclusively for the Client, including print, radio, television, or other offline marketing channels.
      • The specific details and scope of the Services to be provided shall be mutually agreed upon by the parties in writing through a separate statement of work or project plan which shall be attached to this agreement as Exhibit A.
  1. Compensation and Payment Terms
    • The Client shall pay Motor Media the agreed-upon fees for the Services as set forth in the applicable statement of work or project plan.
    • Payment for the Services shall be made within [Number] days from the date of invoice. Late payments shall be subject to a late payment fee of [Percentage]% per month or the maximum amount permitted by law, whichever is lower.
    • Motor Media reserves the right to suspend or terminate the provision of Services in the event of non-payment or late payment by the Client.
    • All fees payable under this Agreement are exclusive of any applicable taxes, and the Client shall be responsible for the payment of any such taxes.
  2. Dispute Resolution
    • In the event of any dispute arising out of or relating to this Agreement, the parties agree to first attempt to resolve the dispute amicably through mediation.
    • If the dispute cannot be resolved through mediation within [Number] days, either party may initiate arbitration in accordance with the rules of the American Arbitration Association.
    • The decision of the arbitrator shall be final and binding upon the parties and may be enforced in any court of competent jurisdiction.
  3. Governing Law and Jurisdiction
    • This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of laws principles.
    • Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located within the State of Utah, United States, and the parties consent to the personal jurisdiction of such courts.
  4. Confidentiality
    • Both parties agree to treat any confidential information shared during the course of this Agreement as strictly confidential.
    • The parties shall not disclose or use such confidential information for any purpose other than the performance of their obligations under this Agreement, except with the prior written consent of the disclosing party.
  5. Intellectual Property
    • Motor Media acknowledges that any pre-existing intellectual property owned by the Client shall remain the sole property of the Client.
    • Motor Media shall retain all intellectual property rights in any work product created specifically for the Client under this Agreement, subject to the Client’s rights to use such work product for the purposes specified in this Agreement.
  6. Limitation of Liability
    • Motor Media’s liability to the Client for any claims arising out of this Agreement shall be limited to the total fees paid by the Client to Motor Media under this Agreement.
    • Motor Media shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or relating to this Agreement.
  7. Entire Agreement
    • This Agreement, together with any attached exhibits or addenda, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
