Merchant Agreement 

This Agreement is made this________day of ______________, 20___ by and between _________________________ (Company) and________________________ (merchant).  

Company Obligations. This Agreement is intended to represent the entire agreement between the Company and Merchant. The Company will provide an online portal or an API designed for businesses to refill their prepaid cellphone customers by auto refill or manually. The Company will let the merchants buy pins or RTR (Real Time Replenishment) from the Company either PREPAID, or with CREDIT TERMS. All sales are final and as such there is no return/refund policy.

 Merchant Obligations. The Merchant will make prepaid payment with either credit cards for a 2.5% CC Fee or through bank transfers. Should the Merchant choose to make postpaid payments, they can be made daily, thrice a week or twice a week.

Software.  We provide the API and Software (and, where applicable, any other relevant software) to enable the Merchant to use the Service. We reserve the right to change or amend these and the interface at any time, to provide the Merchant with a new version

Thereof, and/or to change the functionalities and characteristics, and to require the Merchant to install or update any and all software to continue using the Service.

Charge Backs. The Merchant agrees to be held responsible and liable for: (i) any and all Chargebacks; and (ii) any assessment, fines, fees, charges or expenses of any nature which a Payment Scheme and in particular Card Schemes. The Merchant will be liable for 30% charge back fees same as ACH.

Taxes. Unless stated otherwise, all our fees, charges and other payments to be made are exclusive of VAT, and any other applicable taxes or levies under

Any Applicable Law, for which the Merchant will be separately liable. The Merchant will sign a CT 120 Agreement for taxes.

Term/Termination. The Agreement will remain effective for as long as the Merchant is using the Company System. However, it can be terminated for the following reasons: non-payment; CC dispute; copying of software or any other normal reason. In the event either party wants to terminate the contract he/she will serve the other party a 14 day notice detailing reason for termination.

Governing Law/Dispute Resolution. In the event a dispute shall arise between parties to this agreement, it is hereby agreed that the dispute shall be referred to United States Arbitration in accordance with United States Arbitration Rules. The Arbitrator’s decision shall be final and binding and judgment may be entered thereon.  This Agreement shall be governed by and construed in accordance with the laws of the State of New York.
