MENTORSHIP AGREEMENT
This Mentor Agreement effective as of ________________________ (“Effective Date”) is entered into by and between _______________________(hereinafter the “CLIENT”) and Techfave Industries PTY (Ltd) (hereinafter the “Mentor”). Individually referred to as ‘Party’ collectively referred to as ‘Parties’. The Parties intend to be legally bound as follows:
- SERVICES
The Mentor will employ expertise in providing the following services to the students: body sculpting and body infusion. The Mentor will provide mentoring and training programs to be Client as the Client may require.
- TERM AND TERMINATION
The Mentor render the Training services for ___________ hours from___________ on _______________. This Agreement may be terminated by mutual agreement between the Parties. The Client can terminate the agreement for non-performance, illegal activity, competition and disclosure of confidential information. The Mentor may terminate the agreement for non-payment of the deposit.
- COMPENSATION
In consideration of the services provided by the Mentor, the Mentor will be reimbursed the following amount $ __________________ as follows:
- 50% of the compensation amount will be paid as deposit
- 50% of the remaining amount will be paid after the Mentor renders the services.
- Any delays in payment should be promptly communicated, failure to communicate promptly shall lead to a late fee of $ _____________
- INDEPENDENT CONTRACTOR
The Mentor is an independent contractor. The Mentor is not an agent, representative or partner of the Client. The Mentor shall not have any right, power, or authority to enter into any agreement for or on behalf of, or incur any obligation or liability of, or otherwise bind, the other Party. This Agreement shall not be interpreted or construed to create an association, joint venture, partnership, and representative or employment relationship between the Parties or to impose any partnership obligation or liability upon either Party.
- CONFIDENTIALITY
Confidential information shall include contact lists, contact information, individuals and businesses who related with the Client and materials and logos developed by the Client among others. The Client acknowledges that the Mentor while working for the Client may receive material which is regarded as Confidential. The Mentor agrees not to reproduce, including but not limited to photocopying, emailing documents to email accounts, scanning, printing extra copies of any article, materials, writing or project files unless for the purposes of Training only. This section shall inure after the termination of this Agreement.
- DISPUTE RESOLUTION
Any dispute arising between the Parties shall be solved in good faith through mediation.
- GOVERNING LAW
This Agreement shall be governed and interpreted by laws of ______________________
- ENTIRE AGREEMENT
This Agreement constitutes the entire understanding and agreement between the Parties with respect to the transactions contemplated, and supersedes any and all prior or contemporaneous oral or written representation, understanding, agreement or communication between the Parties concerning the subject matter hereof. Neither Party is relying upon any warranties, representation, assurance, nor did inducements not expressly set forth herein.
