MEMORANDUM OF UNDERSTANDING
This Memorandum of Understanding (the “Memorandum”) is made on this _____ day of
_____________, 2022 (the “Effective Date”), by and between Collaborative Technology
Solutions, LLC and The Geo Group, Inc. (individually referred to as the “Party” and
collectively referred to as the “Parties”).
WHEREAS the Parties desire to enter into an agreement; and
WHEREAS the Parties are desirous to enter into a Memorandum of Understanding between
them, setting out the working arrangements that each of the Parties agree are necessary to work
efficiently, the Parties agree as follows:
1. Purpose
The purpose of this Memorandum is to provide the framework for provision of vocational
rehabilitation services. The Geo Group, Inc., agrees to refer to Collaborative Technology
Solutions, LLC as its preferred vendor for vocational rehabilitation services in states
where Collaborative Technology Solutions, LLC has registered and functioning
vocational rehabilitation services to provide to inmates under The Geo Group, Inc.
2. Obligations of the Parties
The Parties acknowledge that no contractual relationship is created between them by this
Memorandum, but agree to work together in the true spirit of partnership to ensure that
there is a united visible and responsive leadership in provision of vocational rehabilitation
services to inmates under The Geo Group, Inc.
3. Liability
No liability will arise or be assumed between the Parties as a result of this Memorandum.
4. Term
The arrangements made by the Parties in this Memorandum shall remain in place from
the Effective Date until the _____ day of ________________, _________. The term can
be extended only by agreement of all the Parties.
5. Governing Law
This Memorandum shall be construed in accordance with the laws of the State of
_______________.
6. Assignment
Neither Party may assign or transfer the responsibilities or agreement made herein
without the prior written consent of the non-assigning Party, which approval shall not be
unreasonably withheld.
7. Amendment
This Memorandum may be amended or supplemented in writing, if the writing is signed
by the Party obligated under this Memorandum.
8. Severability
If any provision of this Memorandum is found to be invalid or unenforceable for any
reason, the remaining provisions will continue to be valid and enforceable. If a court
finds that any provision of this Memorandum is invalid or unenforceable, but that by
limiting such provision it would become valid and enforceable, then such provision will
be deemed to be written, construed, and enforced as so limited.
SIGNATORIES
This Memorandum shall be signed by _______________________________ on behalf of
Collaborative Technology Solutions, LLC and by ________________________________ on
behalf of The Geo Group, Inc. This Memorandum shall be effective as of the date first written
above.
