This Memorandum of understanding is made between XXXXX for-profit agency located at XXXXX, (Consultant), and XXXX, (Agency)

This Memorandum of Understanding (“MOU” or “Agreement”) sets forth the terms and understanding between Deeply Rooted Servant Leaders, XXXX. and XXXX Community Schools District for the provision of consulting services for a Youth Mentoring Program.

RECITALS:

WHEREAS, Consultant is an XXX for-profit agency dedicated to [mission or purpose];

WHEREAS, the Consultant is a reputable and experienced consulting firm specializing in [description of expertise or services];

WHEREAS, the Consultant has the necessary skills, resources, and knowledge to provide professional consulting services for the development and implementation of a comprehensive youth mentoring program;

WHEREAS, Agency desires to engage the services of the Consultant to assist in the establishment, management, and improvement of its youth mentoring program;

WHEREAS, both Parties are committed to promoting the well-being, growth, and development of the youth community through effective mentoring and support systems;

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and for other good and valuable consideration, the Parties agree as follows:

  1. Background
    • This Agreement provides an overview of the background and context of the partnership between MARION COMMUNITY SCHOOLS and DEEPLY ROOTED SERVANT LEADERS, L.L.C., for the Youth Mentoring Program.
    • It includes a comprehensive description of the shared vision, mission, and objectives that the partners aim to achieve through their collaboration in empowering and supporting youth. Additionally, it outlines any relevant historical or contextual information that may be essential for a clear understanding of the partnership’s purpose and goals in the mentoring program.
  2. Scope of Services
    • The Consultant, DEEPLY ROOTED SERVANT LEADERS, L.L.C., agrees to provide the following consulting services for the Youth Mentoring Program:
      • Conduct a comprehensive needs assessment and program evaluation to identify the specific requirements, challenges, and opportunities of the target population.
      • Develop a detailed mentoring framework, including program goals, objectives, strategies, and measurable outcomes.
      • Design mentor recruitment and selection processes, including the development of mentor profiles, screening procedures, and criteria for matching mentors with mentees.
      • Create comprehensive mentor training modules, materials, and resources to ensure mentors are equipped with the necessary skills, knowledge, and tools.
      • Assist in the process of matching mentors with mentees based on compatibility, mentee needs, and program goals.
      • Provide ongoing support and guidance to mentors through regular check-ins, mentoring forums, and mentor training sessions.
      • Develop program monitoring and evaluation tools, including data collection methods and evaluation frameworks, to assess the effectiveness and impact of the mentoring program.
      • Offer recommendations for program enhancements and improvements based on evaluation findings and best practices in the field of youth mentoring.
    • The Consultant will perform the above services in a professional manner, adhering to industry best practices, ethical standards, and applicable laws and regulations.
  3. Consultant Personnel
    • The Consultant shall assign qualified personnel with expertise in youth development and mentoring to carry out the consulting services described in this Agreement.
    • If the Consultant is an individual, they agree to personally provide all services. If the Consultant has multiple employees, they will make available all qualified associates under their umbrella company to provide the required services.
    • The Consultant shall ensure that all assigned personnel are fully licensed, certified, and/or qualified to lawfully provide the services, if applicable.
    • The Consultant will promptly submit qualification and experience resumes of proposed replacement(s) in the event of personnel changes.
    • The Consultant shall notify Agency in advance of any proposed changes to the assigned personnel and obtain Agency’s approval before making such changes.
  4. Term and Termination
    • The term of this Agreement shall commence on the date hereof and shall continue for a period of [duration] unless terminated earlier as provided in this Agreement.
    • Either party may terminate this Agreement by providing [notice period] written notice to the other party. Termination may occur for justifiable cause, including but not limited to breach of contract, non-performance, or a change in circumstances that renders the continuation of this Agreement impractical or contrary to the best interests of the program.
    • Upon termination, the Consultant shall promptly deliver to MARION COMMUNITY SCHOOLS any documents, materials, or property belonging to MARION COMMUNITY SCHOOLS and related to the services provided under this Agreement. The Consultant shall also assist in the transition of responsibilities to any designated successor or alternate service provider, if applicable.
  5. Limitation of Authority / Independent Contractor
    • The Consultant is an independent contractor and is not an employee, partner, or agent of Agency The Consultant shall have no authority to act on behalf of Agency or bind Agency in any way without prior written consent.
    • The Consultant shall be solely responsible for the actions and conduct of its personnel. The Consultant shall ensure that its personnel comply with all applicable laws, regulations, and ethical standards while providing services under this Agreement.
  6. Payment
    • MARION COMMUNITY SCHOOLS shall compensate the Consultant for the consulting services provided under this Agreement as outlined in the mutually agreed-upon fee schedule or as otherwise agreed upon in writing.
    • The payment terms, including the schedule and method of payment, shall be as set forth in a separate written agreement between Agency and the Consultant.
  7. Insurance, Indemnification, and Hold Harmless
    • The Consultant agrees to obtain and maintain throughout the term of this Agreement appropriate insurance coverage as required by applicable laws and regulations. The Consultant shall provide proof of insurance coverage upon Agency’s request.
    • The Consultant shall indemnify, defend, and hold harmless Agency, its employees, officers, directors, agents, and representatives from any claims, demands, suits, liabilities, losses, expenses, costs, and damages arising out of or in connection with the services provided under this Agreement. This includes claims related to personal injury, property damage, or any other liability arising from the Consultant’s actions or omissions.
  8. Background Checks
    • The Consultant shall perform background checks in compliance with all applicable laws and regulations for any individuals involved in providing services under this Agreement. This includes adherence to any requirements related to criminal history checks and the suitability of personnel working with youth. The Consultant shall bear the costs associated with these background checks.
  9. Confidentiality
    • The Consultant shall observe and adhere to the confidentiality policies and directives of Agency. They shall maintain the confidentiality of all data, records, research findings, and personal information protected by applicable laws, including but not limited to HIPAA. The Consultant shall use confidential information solely for the purpose of providing services under this Agreement and shall not disclose such information to any third party without the prior written consent of Agency.
  10. Intellectual Property
    • All intellectual property, including but not limited to drawings, writings, inventions, and materials produced by the Consultant during the course of providing services, shall be the exclusive property of the Consultant. However, the Consultant agrees to provide Agency with copies of such materials upon termination of this Agreement. The Consultant further agrees to execute any document or agreement necessary to transfer or confirm ownership of intellectual property rights without delay or cost to Agency.
  11. Miscellaneous
    • If any provision of this Agreement is determined to be invalid, void, or unenforceable, the remaining provisions shall remain in full force and effect, and the Agreement shall be construed as if such invalid or unenforceable provision had never been included.
    • This Agreement constitutes the entire understanding between the Parties concerning the consulting services for the Youth Mentoring Program. It supersedes all prior communications, agreements, or representations, whether written or oral, relating to the subject matter hereof.
    • This Agreement may not be amended except in writing signed by both Parties. The failure of either Party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that Party’s right to subsequently enforce and compel strict compliance with every provision of this Agreement.
