MEDICAL BILLING SERVICES AGREEMENT REVIEW
Clause 2: the information deemed confidential should extend not only to the
information for systems access as under clause 2.2 but also to the
records, information and other relevant personal data on the individual
patients given by the client for the provision of services
Clause 3: The initial set up charge of $0 should be verified and confirmed
Clause 5: The clause only highlights the client’s obligations upon summary
termination and fails to highlight Ez4u’s obligations in regard to the same.
It should highlight Ez4u’s obligations upon termination without notice as is
provided for the client. If Ez4u terminates the agreement without notice,
they should be expected to remit within 5 days of such termination, a
payment that would place them in a position that rectifies the situation to
allow them continue without excess damage to their affairs. (Amount to be
determined by the client)
Such remedy should not prevent the client from seeking greater damages
if the client suffers greater damage as a result of Ez4u’s actions.
Clause 6: Ez4u should also indemnify the client, its owners, directors, employees
and contractors from any damage that might manifest as a result of the
performance or non-performance of the agreement, including any
misleading or fraudulent actions that may result in claims, causes of
action, damages, fines, assessments, penalties, costs (including
reasonable attorney’s fees) and responsibility arising from their actions.
The client shall be indemnified against any actions of Ez4u that go against
their powers as conferred under the agreement including, but not limited to
the misuse of client information.
