Marketing Agency Agreement (Plug & Play)
This Client Agreement (hereinafter the “Agreement”), is between _______________
(hereinafter the “Client”), and ____________________ (hereinafter the “Company”).
Collectively, referred to as the “Parties” and each, a “Party”).
WHEREAS, the Company is a marketing agency for a car dealership Niche; and
WHEREAS, the Client desires to have Company provide the marketing services.
NOW, THEREFORE, the Parties agree to be legally bound as follows; –
1. Services.
Parties agree that during the term of this Agreement, the Company shall perform the
following services; –
● 30 Instagram posts shot, edited and posted.
● Monthly management of Client’s Instagram account.
● Facebook Advertisements.
● Instagram Advertisements.
● Creation Services.
2. Term.
This agreement shall be from the date of signing hereof (the “Effective date”) and shall
be for a period of ___________.
3. Compensation.
Parties herein agree that there shall be a charge of €497 as retainer fee which shall be
paid 28 days after signing this agreement.
There shall be a subsequent fee of €49 per lead.
Parties herein agree that the company has the right to change the retainer fee and
amount per lead.
4. Confidentiality.
The parties agree and acknowledge that during the provison of the services herein, they
shall come into information and/or data that is considered confidention and the same
shall not be disclosed to any third parties without the written consent of the other party.
5. Termination.
Marketing Agency Agreement (Plug & Play)
This Agreement and the terms herein may be terminated by either party by issuing a
prior written 14 days notice to the other party.
6. Indemnification.
The parties herein agree to indemnify each other from any loss, liabilities or damages
that may occur as a result of the services provided herein.
7. Entirety of Agreement.
This Agreement constitutes the entire agreement of the Parties hereto concerning the
subject matter hereof and supersedes any prior oral or written agreements pertaining to
the subject matter of this Agreement.
8. Modification.
This Agreement may not be modified, changed or discharged in whole or in part, except
in a separate agreement in writing signed by both parties.
9. Severability.
If any provision of this Agreement (including any sentence, clause or word), or the
application thereof to any person, place or circumstance, shall be determined by a court
of competent jurisdiction to be invalid or unenforceable for any reason; –
a. The remaining provisions of this Agreement shall continue in full force and effect,
unaffected by such determination,
b. The court making such determination shall have the power to, and the Parties
hereby request the court to, modify such provision (by providing for or adjusting
the scope and/or duration of any rights or restrictions or otherwise) to the
minimum extent necessary so that such provision becomes legal, valid and
enforceable to the maximum extent permitted by law and
c. Such determination shall apply only in the jurisdiction of such court and shall not
alter, modify or affect such provision or any other provision in any other
jurisdiction.
10. Governing Law.
This Agreement and all matters relating hereto are governed by, and construed in
accordance with, the laws of the United Kingdom, without regard to the conflict of laws
provisions of either.
Marketing Agency Agreement (Plug & Play)
Any legal suit, action, or proceeding relating to this Agreement must be instituted in the
courts located in the City of London.
Each Party irrevocably submits to the exclusive jurisdiction of such courts in any such
suit, action, or proceeding.
IN WITNESS WHEREOF, the Parties hereto have executed this Agreement on the
