This Maintenance Service Agreement (hereinafter referred to the "Agreement") is made
on ______________ 2023 by and between _______________________ (hereinafter
referred to as the “Owner”) and _______________________ (hereinafter referred to as
the “Service Provider”) for services in connection with Construction Maintenance of 243
East 52 nd Street.
THEREFORE, for and inconsideration of the mutual covenants contained in this
Agreement, and other good and valuable consideration, the receipt and sufficiency of
which is hereby acknowledged, the parties agree as follows:
1. Services.
The Service Provider agrees to perform for the Owner, in a satisfactory manner as to
quality and subject to the provisions of this Agreement, the following services; –
i. Minor electrical repairs,
ii. Minor plumbing repairs,
iii. Maintenance of the grounds of the Rental Properties
iv. Minor carpentry.
2. Access and Authority.
Parties herein agree and acknowledge that to effect the provisions of the services
herein, the Service Provider and the personnel will regularly inspect the premises and
the work done by Service Provider’s employees and will exercise complete authority
over all such employees.
3. Labor and Equipment.
The Service Provider shall furnish all labor, equipment, and materials necessary to the
performance of its duties under and pursuant to this Agreement, except for such
equipment and materials that will be provided by Owner.
4. Maintenance and Quality.
The Service Provider agrees to perform all maintenance work and will use the same
standards of safety and maintenance in performing such work as owner has established
and shall submit all work completed to owner, for inspection prior to its submission to
any other service provider in the State.
The Service provider shall further maintain the premises, grounds, and equipment free
of any danger of fire and any other fire hazard, and not leave any such building or
premises uninhabitable.

5. Maintenance Schedule.
The Service provider shall perform all maintenance on the premises as soon as
practicable and at least weekly thereafter. The Service Provider shall provide the owner
with a schedule of expected maintenance work, including estimated time of completion,
together with an estimate of the cost to be incurred to complete such work.
The Owner shall have the right to extend a minimum of 20 working days for any
scheduled maintenance work, as long as such extension meets the requirements of the
provisions of this agreement.
6. Modifications.
Any party herein can request for any changes to the terms in the agreement and/or the
scope of work or service being performed as well as any cost associated with change
requests upon a written request (which will not be unreasonably withheld) and parties
will prepare an addendum to this contract.
7. Termination.
The Service Provider shall terminate any existing subcontractors or service provider
owned subcontractors if, prior to termination, any such subcontractor, does not perform
any maintenance services, does not maintain any portion of the premises or is unable to
perform any maintenance work as set forth in this agreement.
The Service Provider shall terminate this agreement for any reason by issuing a 30
days’ written notice.
8. Dispute Resolution.
The Service Provider and the Owner hereby mutually agree to have mutual negotiations
if there arises a dispute concerning this contract. If the negotiations fail, parties may
resolve the issue through Mediation.
9. Governing Law.
This Agreement shall be governed by and construed in accordance with the laws of the
state of New York.
10. Severability.
If any term, clause, or provision hereof is held invalid or unenforceable by a court of
competent jurisdiction, such invalidity shall not affect the validity or operation of any
other term, clause, or provision, and such invalid term, clause, or provision shall be
deemed to be severed from the Agreement.
