LOVE HOUSE INTERIOR AND ARCHITECTURE FURNISHING AGREEMENT

This Interior and Architecture Furnishing Agreement (“Agreement”) is entered into on this [Date], (the “Effective Date”) between [Your Company Name] (“Love House”), located at [Your Company Address], and [Developer’s Company Name] (“Developer”), located at [Developer’s Company Address]. Love House and Developer are collectively referred to as the “Parties.”

RECITALS

WHEREAS, Love House is a company specializing in interior and architecture design and furnishing services, with expertise in creating luxurious and aesthetically pleasing living spaces.

WHEREAS, Developer is the owner or authorized representative of [Apartment Name/Number], a luxury apartment located at [Apartment Address], in need of professional interior and architecture furnishing services.

WHEREAS, Love House and Developer desire to enter into an agreement to define the scope of work, responsibilities, and payment terms for the interior and architecture furnishing of the Apartment.

NOW, THEREFORE, in consideration of the mutual promises and covenants set forth herein, the Parties agree as follows:

  1. Scope of Work
    • Description of Services
      • Love House agrees to furnish the interior and architecture design for [Apartment Name/Number] (the “Apartment”), located at [Apartment Address].
      • The services provided by Love House shall include, but are not limited to:
        • Development of interior and architecture design concept and plan:
          • Conducting a thorough assessment of the Apartment space and requirements.
          • Collaborating with Developer to establish design objectives and preferences
          • Creating a comprehensive design concept, including layout plans, colour schemes, and material selection
          • Presenting the design concept to Developer for approval and feedback
        • Selection and procurement of furniture, fixtures, and equipment (FF&E):
          • Identifying FF&E requirements based on the approved design concept
          • Sourcing and selecting appropriate FF&E items, considering quality, aesthetics, and budget constraints
          • Preparing a detailed FF&E specification list for Developer’s review and approval
          • Coordinating with suppliers, manufacturers, and vendors to procure the approved FF&E items
        • Coordination with contractors and vendors:
          • Collaborating with Developer’s chosen contractors, architects, and other professionals involved in the project
          • Providing necessary design and technical specifications to ensure proper execution of the design concept
          • Conducting regular site visits to monitor progress, address design-related queries, and ensure compliance with design intent
          • Resolving any coordination issues or conflicts that may arise during the project
        • Installation and arrangement of FF&E:
          • Overseeing the delivery and installation of FF&E items to the Apartment
          • Ensuring proper placement and arrangement of furniture, fixtures, and equipment as per the approved design concept
          • Collaborating with appropriate trades to facilitate installation, such as electricians, carpenters, and painters
          • Conducting a final walkthrough with Developer to ensure satisfaction with the installed FF&E items
        • Overall project management and supervision:
          • Acting as the primary point of contact for all matters related to the interior and architecture furnishing of the Apartment
          • Coordinating and managing the project timeline, including scheduling, milestones, and deliverables
          • Providing regular progress updates to Developer, including written reports and visual presentations
          • Addressing any concerns or issues raised by Developer promptly and professionally
        • Project Timeline
          • The term of this Agreement shall be 18 months, commencing on the Effective Date and ending on [End Date].
          • The Parties shall work collaboratively to adhere to the following project timeline:
            • Concept and Design Development: [Start Date] – [Estimated Completion Date]
              • Love House will commence work on developing the interior and architecture design concept based on the agreed-upon schedule.
              • Developer will provide necessary feedback and approvals within a reasonable timeframe to avoid delays in the design development process.

              • Love House will initiate the procurement process for FF&E items once the design concept is approved.
              • Developer will assist in providing access to the Apartment, as required, for inspections, deliveries, and installations of FF&E items.

              • Love House will oversee the installation and arrangement of FF&E items in coordination with appropriate trades.
              • Developer will cooperate and provide necessary support to ensure a smooth and timely completion of the project.
  1. Payment Terms
    • Budget and Payment Schedule
      • The total proposed budget for the interior and architecture furnishing of the Apartment is [Total Budget Amount]. The payment schedule shall be as follows:
        • 1/3 of the proposed budget amount, equivalent to [Payment Amount], shall be due at the signing of this Agreement.
        • 1/3 of the proposed budget amount, equivalent to [Payment Amount], shall be due halfway through the project, on [Payment Due Date].
        • The remaining balance, equivalent to [Payment Amount], shall be due before insulation, on [Final Payment Due Date].
  1. Late Payment
    • In the event that any payment is not made within [Number of Days] days of the due date, Love House reserves the right to suspend all work until payment is received. Developer shall be responsible for any costs or expenses incurred by Love House due to late payment.
  2. Dispute Resolution
    • In the event of any dispute arising out of or in connection with this Agreement, the Parties agree to first attempt to resolve the dispute amicably through mediation. The mediation shall take place in New York.
    • If the dispute remains unresolved after mediation, the Parties may pursue other legal remedies available to them.
  3. Intellectual Property Rights
    • Love House retains all intellectual property rights to the inventory used for the project, including but not limited to design concepts, plans, drawings, specifications, and any other related materials created or developed by Love House.
    • Developer shall not reproduce, distribute, or use any of Love House’s intellectual property without prior written consent.
  4. Confidentiality
    • The Parties acknowledge and agree that any confidential information shared during the course of this Agreement shall be kept confidential and shall not be disclosed to any third parties without the express written consent of the other Party.
  5. Governing Law and Jurisdiction
    • This Agreement shall be governed by and construed in accordance with the laws of the state of New York, without regard to its conflict of law principles.
    • Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in New York, New York.
  6. Entire Agreement
    • This Agreement constitutes the entire agreement between the Parties regarding the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
  7. Amendment and Waiver
    • Any amendment or modification to this Agreement must be in writing and signed by both Parties.
    • The failure of either Party to enforce any provision of this Agreement shall not be deemed a waiver of that provision or any other provision contained herein.
