LIMITED POWER OF ATTORNEY

Whereas the Company is carrying on the business of manufacturing and selling e-bikes.
Whereas _____________________(hereinafter “Distributor”) is the Company’s special distributor of XX brand series products in __________________(hereinafter the “region”), responsible for product sales in the region.
And Whereas to facilitate the Distributor’s performance of their duties to the Company, the Company appoints the said Distributor as a Constituted attorney of the Company with following specific powers and authority.
NOW KNOW YOU ALL AND THESE PRESENTS WITNESS that the Company does hereby appoint, and constitute the said Distributor as true and lawful attorney or agent of the Company with full powers and authority to do and execute all acts, deeds, and things as hereinafter mentioned on behalf of, in the name of and for the Company viz.
- To sell the Company’s ebikes of XX brand series in the region.
- To generally, to do all acts and things incidental to the powers hereinbefore mentioned.
Provided that notwithstanding anything hereinbefore contained, the said attorney shall always act within and not outside the instructions or directions received by them from the Company, and the Company agrees to ratify all acts and things lawfully done by the said attorney pursuant to the powers hereinbefore contained.
In addition, the authorization herein is subject to the scope of the agency contract between the parties and the right to maintain the Company’s intellectual property rights and legality in the region’s obligations of rights.
This power of attorney is effective from the execution date and will terminate after _____________(insert the duration) or sooner if revoked by the Company in writing for reasons that include but are not limited to: misuse of the Company’s name, brand for illegality, unauthorized activities, privately set prices and raised prices, significant damage to the Company’s customer’s legitimate rights and interests and cause losses, unfair competition and
exceeding the validity period of the power of attorney
The final interpretation of this power of attorney belongs to the Company.
