LICENSE AGREEMENT
This License Agreement is made as of this ___________ day of 2022 by and between
____________________________________ (hereinafter Äuthor’) AND
______________________________ (hereinafter ‘Licensor). Individually referred to as
‘Party’ and collectively referred to as ‘Parties’). The Parties intend to be legally bound as
follows:
1. Scope
Subject to this Agreement, the Licensor consents for his testimony and images to be
used in the authorship of the book by the name: ____________________________.
The Author represents that they will properly acknowledge the Licensor when authoring
the book.
2. Term and Termination
The term of this Agreement shall commence on the effective date and continue in
perpetuity. However, the Agreement may be terminated on grounds of the Licensor
selling the book separately and getting earnings from it, the Licensor authoring a book
based on the content shared with the Author, and lack of cooperation from the Licensor.
3. Consideration
In consideration of the permission to use Author’s testimony and images, the Author
agrees to pay him 5% commission of all earnings (collected from physical and online
sales) from the sales on a Quarterly basis.
4. Ownership of Intellectual Property
The Licensor agrees that, subject to the rights and licenses granted herein, the Author
is, and will remain, the sole and exclusive owner of all rights, title, and interest
throughout the world of the book and its contents. The Licensor shall not author a book
based on the content licensed to the Author. The Author will not use the Photos and the
Testimony in any unlawful manner or sublicense the Photos without the permission of
the Licensor.
5. Indemnification
Licensor will indemnify and hold harmless the Author from all liability, claims, demands,
causes of action, judgments, damages and expenses (including reasonable attorneys’
and experts’ fee and costs) arising out of or as a result of the Photos and the Testimony
by the Licensor.
6. Severability
If any provision of this Agreement is held invalid, illegal or unenforceable by a court of
competent jurisdiction, the remainder of the Agreement will be valid and enforceable
and the parties will negotiate in good faith in a substitute, valid and enforceable
provision which mostly puts into effect the intent of the parties.
7. No Waiver
This Agreement may not be altered, modified, or amended in any way except in writing
signed by both parties. The failure of a party to enforce any provision of the Agreement
will not be construed to be a waiver of the right of such party to thereafter enforce that
provision or any other provision or right.
8. Dispute Resolution
Any disputes arising between the parties shall be solved in good faith through
mediation.
9. Governing Law
The Parties hereby agree that this Agreement will be governed by, and construed and
enforced in accordance with the laws Australia.
10. Entire Agreement
The Agreement represents and constitutes the entire agreement between the Parties,
and supersedes and merge all prior negotiations, agreements, and understandings, oral
or written, with respect to any and all matters between the Parties.
