This letter of intent, (the ‘Letter of intent’) represents the basic terms for an agreement that shall be considered binding after this letter of intent has been made a formal agreement by the Parties.

  1. Scope. Store2Door is a Dublin-based grocery delivery service company that shops for, collects and delivers groceries from supermarkets to customers. The Company uses data-driven platform technology to allow consumers order grocery and household items from a variety of large retailers and have them delivered within the same day. By collaborating with you, we hope to create a world where everyone has access to the food they love and more time to enjoy it together. Store2Door would like to feature your products and goods in our application by including images and detailed description of the goods. Store2Door also seeks permission to use your logo in the application.
  2. Term. The term of this letter of intent shall be effective until the Parties enter into a formal agreement or until the letter of intent is rejected.
  3. Compensation. In consideration for the transactions and sales conducted by Store2Door, the Corporation will reimburse them commission payments subject to a revenue-sharing agreement.
  4. Confidentiality. All negotiations regarding the Partnership between the Partner and the Company shall be confidential and not be disclosed to anyone other than respective advisors and internal staff of the parties and necessary third (3rd) parties.
  5. Good Faith Negotiations. Store2Door and the Partner agree to act honestly and diligently to enter into “good faith” negotiations in order to execute a formal agreement and/or close the transaction.
  6. Governing Law. This Letter of Intent shall be governed by the laws of ____________________.
  7. Counterparts and Electronic means. This Letter of Intent may be executed in several counterparts, each of which will be deemed to be an original and all of which will together constitute the same instrument. Delivery to us of an executed copy of this Letter of Intent by electronic facsimile transmission or other means of electronic communication capable of producing a printed copy will be deemed to be execution and delivery to us of this Letter of Intent as of the date of successful transmission to us.
  8. Severability. In case any provision or wording in this Letter of Intent shall be held invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.
  9. Acceptance. If you are agreeable to the aforementioned terms, please sign and return a duplicate copy of this Letter of Intent by no later than _________________________________
