LAND PURCHASE AND SALE AGREEMENT.
This Land Purchase and Sale Agreement is entered into on this _________ Day of __________ 2021 (Effective Date) by Luke Barzie, Unity Valley. www.liberianfood.org email info@liberianfood.org 253-455-4984 (hereinafter referred to as the “Buyer”) and Mathew Mandedou +231 77 703 3091 (hereinafter referred to as the “Seller”).
DESCRIPTION OF THE LAND.-The Land is a 160 acres piece of land located at _____________________, registration Number ____________________, Title deed number/details ____________________________.
PURCHASE PRICE.-The purchase price for the land is _________________ Dollars of which:

☐40% of the total revenue made during the harvest season (this shall not include the amount already paid for in cash)

The Parties agree that the Agreement shall be automatically terminated if the Buyer fails/refuses to make the monthly/years payments.
As additional consideration, the Seller has an opportunity to work with the Buyer on the Land by offering agricultural services as the lead overseer of the project and being in charge of the hiring and firing process of land staff. The Seller understands that he may be dismissed at any time from this position if he violates any of the Buyer’s zero tolerance policy.
ASSIGNMENT OF TITLE– the Seller agrees on his own freewill to assign and transfer Title of Ownership to the Buyer on the Effective Date herein. The Buyer understands that they shall, from the Effective Date herein, be responsible for paying all and any government land taxes.
SELLER’S COVENANT.- The Seller warrants that He is the owner of the Land and the Seller must make sure that if there are other family members who have any claim on the piece of land, such members shall be present to witness the Purchase/Sale of the Land herein;

The Seller shall not sell and/or transfer ownership of the Land covered under this Agreement to a third. In the event that there are issues related to resell of the Land to a third party, the Seller shall pay the current value of the Land as of the time of the dispute.
BREACH OF AGREEMENT.-In the event that the Seller violates any of the terms stated in this Agreement, interferes with the Buyer’s use and enjoyment of the Land and/or interferes with the production and development of the Land, the Seller shall pay the current value of the Land as of the time of the termination of the Agreement.
MODIFICATION.-This Land Purchase and Sale Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof. No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.
GOVERNING LAW.-This Agreement shall be governed by and construed in accordance with the laws of Liberia. Exclusive jurisdiction and venue shall be in Liberia.
The Parties having acknowledged and understand thoroughly the terms herein contained and seen that they are consistent with their intentions, subscribed their names and seals in the presence of witnesses and have each retained a copy of this Agreement.
