INFLUENCER AGREEMENT
This INFLUENCER AGREEMENT (“Agreement”) is entered into this [DATE] by and between
[NAME OF COMPANY] (herein the ‘‘Company’’) and the Influencer [NAME OF INFLUENCER]
(herein the ‘‘influencer’’)
Whereas the company is a one stop shop for small businesses which offer a toolbox under the form of
web services that used in conjunction create a helpful management system including mail campaign,
SEO, etc…;
Whereas the company is looking to create an influencer based campaign to help the company
promotes their services;
NOW, THEREFORE, in consideration of the premises, and of the mutual promises and undertakings
herein contained, the parties, intending to be legally bound, do agree as follows:
- The Service.
1.1 The Company would like the Influencer’s assistance in promoting / offering / selling the
Company’s products via their respective platforms according to the agreement between the
company and the influencer. The Company hereby appoints the Influencer as its
representative on a non-exclusive, non-employee basis to endorse and promote its services
to the target audience.
1.2 The influencer agrees not to promote any products for any other company which is a
competitor of Mpact360 at the same time the influencer will be working with Mpact360.
Further, the influencer shall not use any of the company’s content to promote another brand
during the time of this contract.
1.3 In the event where an influencer fails to meet the company’s standards, the influencer shall
refund the company fully.
- COMPANY’S OBLIGATION
2.1 In consideration of the services offered by the influencer, the Company shall reimburse the
influencer.
2.2 The company shall offer the influencer the platform in exchange for a review. The
influencer shall be granted free access to the platform for 30 days. The company shall
further offer the influencer a lump sum to use their platform in order to advertise for the
Company.
2.3 The company shall give promo code for a free 14 day trial to their followers.
2.4 The company will be providing the influencers with a promotional code to track their sales
and pay commissions monthly. - Term.
This agreement shall remain in effect from the date signed in the agreement until it is
terminated by either party. - Deliverables.
4.1 The Influencer shall deliver the agreed service on behalf of the Company according to the
delivery schedule specified by the Company. - Payment terms
The influencer shall be paid a total amount of $_____.
$1000 budget (this will be split among the influencers)
50% up front + 50% at the end of the service
Termination
Either party may terminate this agreement at any time if the other party breaches this agreement and
does not cure such breach within a specified period as agreed by the parties in addition to any right or
remedy that may be available to the Company under this agreement or applicable law.
In the event where the Influencer breaches this agreement, the Company may;
(i) immediately suspend, limit or terminate the Influencer’s access to any Company
platforms and/or;
(ii) Instruct the Influencer to cease all campaign activities or make clarifying statements,
and the Influencer shall immediately comply.
(iii) Either party may terminate this agreement at any time without cause upon _
day’s prior written notice to the other party.
- Force Majeure.
If either party is unable to perform any of its obligations by reason of fire or other casualty, strike, act
or order of public authority, act of God, or other cause beyond the control of such party, then such party
shall be excused from such performance during the pendency of such cause and shall not be penalized
for that. - Governing law
This Agreement shall be construed and enforced pursuant to the laws and decisions of the State of
Missouri.
