INDEPENDENT CONTRACTOR SERVICE AGREEMENT

 

(“AGREEMENT”), between Blue Nose Aerial Imaging, Gainesville, VA (Blue Nose Aerial Imaging). a Delaware LLC and ____________________________ (“Contractor”) as signed and dated below.

1. DEFINITIONS.

  1. “Area of Interest” means an aerial scan of an area which could be (Property, Land, Fields, etc..). Multiple flights or trips within the same day on the same Area of Interest may be necessary to capture all required the entire area.
  • “Backoffice” means Blue Nose Aerial proprietary online web and mobile software (including Blue Nose Aerial Scout™) needed to manage transfer of information between Contractor and BLUE NOSE AERIAL.
  • “Contiguous Field” means a contiguous acre segment touching along a polygon boundary, except no area of land shall be considered not contiguous solely by reason of a roadway or other right-of-way.
  • “Crew Member” means Pilot in Command, Visual Observer, Pilot, Payload Service Provider, Sensor Provider or other person necessary for the safe operation of all aircraft components.
  • “Flight Mission” means flight planning and execution in connection with a single Work Order, data collection employing one or more unmanned aircraft systems and image processing approved by BLUE NOSE AERIAL, as well as other scouting of field activity required by BLUE NOSE AERIAL. BLUE NOSE AERIAL prefers to schedule more than one Work Orders per day in aggregate.
  • “Know-How” means BLUE NOSE AERIAL knowledge communicated to Contractor via operating manuals, training and general communication which is of secret, substantial and identifiable nature. The “secret” nature is derived from the fact that the know-how, in its totality and as the aggregate of its component parts, is not common knowledge, nor is it readily available. The “substantial” nature is derived from the fact that the Blue Nose Aerial know-how includes important information as to the data processing workflow, and best management practices to which the Contractor will use. The “identifiable” nature is derived from the fact that the Blue Nose Aerial know-how is described in sufficient detail in the preliminary training programs and in the operations manual which the Contractor shall receive upon the execution of this Agreement.
  • “Personal Information” means information provided to Contractor by BLUE NOSE AERIAL  or at the direction of Customer, or to which access was provided to Contractor by BLUE NOSE AERIAL  or at the direction of Customer, in the course of Contractor’s performance under this Agreement that: (i) identifies or can be used to identify an individual (including, without limitation, names, signatures, addresses, telephone numbers, e-mail addresses and other unique identifiers); or (ii) can be used to authenticate an individual (including, without limitation, employee identification numbers, government-issued identification numbers, passwords or PINs, financial account numbers, credit report information, biometric or health data, answers to security questions and other personal identifiers), in case of both subclauses (i) and (ii), including, without limitation, all data Work Order and Flight Mission data collected. Customer’s business contact information is not by itself deemed to be Personal Information.
  • “Work Order” or “Order Form” means a BLUE NOSE AERIAL service order for a field scan that includes type of service, location, field boundaries, timing and quality standards. BLUE NOSE AERIAL will submit to Contractor work order details on behalf of authorized end users.
  • In this Agreement, unless the context otherwise requires, any reference to:
  • the singular includes the plural and vice versa;
  • a person includes reference to a body corporate or other legal entity;
  • any written law includes that law as amended or re-enacted from time to time;
  • any agreement or other document includes that agreement or other document as varied or replaced by the Parties in writing from time to time;
  • a clause is to the relevant clause of this Agreement;
  • any Party includes that Party’s successors and assigns.
  • APPLICATION OF TERMS AND THE CONTRACTOR UNDERSTANDING
    • Save as may otherwise be provided in this Agreement the terms and conditions set out in this Agreement are the only terms on which BLUE NOSE AERIAL is prepared to deal with the Contractor and they shall govern the relationship between the Parties to the entire exclusion of all other agreements entered into with the Company in relation to the provision of the Works.
    • If any ambiguity is found in the various documents forming this Agreement, BLUE NOSE AERIAL shall issue any necessary clarification or instruction.
    • All documents annexed to this agreement shall be subject to the terms under this agreement, provided that the Parties append their signatures on the documents.
  •  
  • CONDITIONS OF SERVICES. Contractor shall conduct on demand Small Unmanned Aerial Vehicle (SUAV) data collection according to BLUE NOSE AERIAL Imaging data collection and technical processing specifications as outlined in each assigned Work Order. As the nature of Flight Mission under this Agreement may be regulated by law, Contractor shall: Obtain all legal authorizations to perform the Flight Mission in accordance with all FAA, state, and local regulations. If Contractor is unable to do so, Contractor shall provide BLUE NOSE AERIAL Imaging with written proof of inquiry pre-deadline for the necessary authorizations. Contractor shall provide to BLUE NOSE AERIAL Imaging all written proof of regulatory compliance before performing any work order. Contractor shall maintain flight logs, strictly comply with all obligations within each Flight Mission and inform BLUE NOSE AERIAL Imaging of significant obstacles met while performing the services under each Work Order. Contractor shall obtain authorization and permits and access to location as necessary for Contractor to conduct the Flight Mission. Contractor shall participate in BLUE NOSE AERIAL Imaging training as designated by BLUE NOSE AERIAL Imaging staff to facilitate the planning and executing of work under this Agreement. As part of each Work Order, BLUE NOSE AERIAL Imaging shall send to Contractor shapefile, .kml or similar document of the Area of Interested that shall be mapped, details about sensor requirements including resolution and other image details, contact information related to the area(s) of interest during the data collection, and verbal or written permission or consent from landowner or authorized representative for unmanned aerial vehicle use within area(s) of interest.

Before commencing the Flight Mission, the Contractor shall introduce itself to any third parties in connection with this Agreement as a BLUE NOSE AERIAL Imaging representative. The Contractor must present themselves in professional manner, uphold the image of Blue Nose Aerial Imaging and commit themselves to not undermining the image or credibility of Blue Nose Aerial Imaging when meeting with customers and/or third parties. When necessary, and particularly on job sites, the Contractor shall comply with all requirements to enter or approach each job site, as applicable.

The outcome of the service is determined according to standards that are expected to evolve over time. For images that are within the visible range, for example, the standards include but are not limited to the following parameters:

  1. Overlap rate between images;
  2. Ground resolution of images;
  3. Exposure level of the images;
  4. The brightness of the images; and
  5. Resulting orthomosaic with rectification and other proper filters.

Contractor understands that all Work Order data, including raw images and derivatives, must be safely stored until it can be transferred to BLUE NOSE AERIAL Imaging. Upon successful transfer, Contractor shall destroy all data its possession. Unless otherwise specified in the Work Order, Contractor agrees to provide BLUE NOSE AERIAL Imaging with the following files no later than date specified:

  1. WITHIN 6 HOURS OF ASSIGNED WORK ORDER – Acknowledge acceptance of order, confirm that you can fly on or before the schedule date.
  1. CONDUCT DATA COLLECTION ON OR BEFORE SCHEDULED DATE – Comply with all legal rules, safety, and BN required parameters; conduct flight on scheduled date or no later than 5 days than order accepted.
  1. WITHIN 24 HOURS OF DATA ACQUIRED – Process the flight data according to BLUE NOSE AERIAL specification within the Area of interest and upload designated file results via Backoffice portal
  1. WITHIN 15 DAYS OF DATA ACQUIRED – Raw images acquired during the mission or within the scope of the work order; Any log files corresponding to raw images (including timestamp, geospatial coordinates, yaw, pitch and roll metadata); Corresponding flight plan(s) in .kml or .shp format or other suitable document; Flight logs as available; Any metadata corresponding to processed deliverables such as intermediate .kml or .shp files and raster files; Upload via designated BLUE NOSE AERIAL Imaging Backoffice portal or arrange shipment of physical hard media with BLUE NOSE AERIAL  staff; Destroy and delete any and all files in Contractor’s file archives related to the Work Order. Contractor shall send accurate invoice with accrued work performed including any out-pocket costs. Contractor understand that Blue Nose Aerial Imaging will withhold payment until deliverables under this paragraph, including raw images and invoices are received within the designated time. Contractor may forfeit claim for payment upon non-compliance on any and all items in Section 2.
  • LICENSE. During the term of this Agreement, BLUE NOSE AERIAL hereby grants to Contractor, and Contractor hereby accepts from BLUE NOSE AERIAL, a nontransferable, nonexclusive right and license to the Backoffice solely to support Contractor’s work related to this Agreement. Contractor shall refrain from reverse engineering the Service or granting any other person or entity the right to do so. Further, Contractor shall return all software, as applicable, upon written notice, and at the end of the term of the Agreement.
  • PAYMENT. BLUE NOSE AERIAL will pay according to the schedule listed below at the times provided in a work order.
    • $60.00 per work order up to 100 acres; and
    • $0.50 per acres over 100.1 acres plus, IRS prevailing rate (currently $.56/mile) outside 30-mile radius from home base plus, if the Contractor has a Blue Nose Aerial approved sensor $25.00 per Flight Mission
  • TERM. This Agreement may be terminated by either party, without cause, upon 10 days written notice to the other party, provided that Contractor will be paid for all services provided to the date of termination. If Contractor fails to deliver the Services on time in the manner set forth in Paragraph 2, BLUE NOSE AERIAL will have the right to terminate this Agreement immediately and to recover from Contractor any sums advanced in connection with the Services.
  • RELATIONSHIP OF PARTIES. The parties hereby acknowledge and agree that this Agreement is not intended to, and does not in any way, create the relationship of principal and agent or employer and employee between BLUE NOSE AERIAL and Contractor. Contractor will not in any manner assume or create any obligation on behalf or in the name of BLUE NOSE AERIAL. BLUE NOSE AERIAL will not be responsible for any employment-related taxes, insurance or fringe benefits whatsoever. Contractor will have the right to control and determine the methods and means of providing the Services, and employ assistants at its sole expense as it deems appropriate to carry out this Agreement.
  • DRUG AND ALCOHOL POLICY. Unless further restricted by local regulatory authorities, Contractor, including its employees and affiliates, agree and warrant that no person will act as a Crew Member or perform maintenance on an aircraft when: (i) affected by or under the influence of alcohol, but in no case within eight (8) hours after the consumption of any alcoholic beverages; or (ii) while using any drug of other substance that adversely affects the person’s ability to perform required duties.
  • INSURANCE. Contractor shall use approved equipment and software as designate by BLUE NOSE AERIAL. If BLUE NOSE AERIAL provides any equipment or software, then Contractor shall maintain its own insurance, and Include BLUE NOSE AERIAL  as an additional insured and shall send proof of insurance to BLUE NOSE AERIAL  in the form of certificate of insurance from the underwriting insurance company, containing the following information: Name of the broker and insurance company; Contract number; Period of coverage; Proof of up-to-date contribution; Liability amount and coverages.

  • INJURIES. Contractor acknowledges the Contractor’s obligation to obtain appropriate insurance coverage for the benefit of the Contractor (and the Contractor’s employees, if any). The Contractor waives any rights to recovery from BLUE NOSE AERIAL for any injuries that the Contractor (and/or the Contractor’s employees) may sustain while performing services under this Agreement unless such injuries are due to the gross negligence of BLUE NOSE AERIAL.
  • CONFIDENTIAL INFORMATION. Contractor acknowledges that Contractor will have access to non-public and proprietary information, in various forms, that relates to the actual or anticipated business and operations of BLUE NOSE AERIAL and related third parties (together, “Confidential Information”). Contractor understands that the ability to preserve Confidential Information for Blue Nose Aerial exclusive knowledge and use is of substantial competitive importance and commercial value to BLUE NOSE AERIAL, and that improper use or disclosure of the Confidential Information by the Contractor is likely to cause BLUE NOSE AERIAL  harm, including financial costs, loss of business advantage, liability under confidentiality agreements with third parties, civil damages and criminal penalties. Contractor therefore agrees at all times during the term of this agreement and thereafter, to hold Confidential Information in strictest confidence, to use it only to promote the business of BLUE NOSE AERIAL in providing the services under this Agreement, and not to disclose it to any person or entity outside of BLUE NOSE AERIAL. The term “Confidential Information” includes (but is not limited to): (i) research, technical data, software, inventions, processes, methodologies, designs, formulas, or any trade secrets, know-how or intellectual property of BLUE NOSE AERIAL  (including the Backoffice); (ii) business and marketing plans, strategies and programs; (iii) product plans and pricing; (iv) customer lists, sales prospect lists, sales strategy, sales data, and information about customers learned during or as a result of Contractor’s duties with BLUE NOSE AERIAL  (including Personal Information); (v) lists of employees, contractors and suppliers; (vi) the terms of BLUE NOSE AERIAL  contracts; (vii) BLUE NOSE AERIAL  financial statements, results, forecasts and budgets, or other financial information; and (viii) confidential or proprietary information of third parties that Contractor learns during or as a result of Contractor’s relationship with BLUE NOSE AERIAL  and the confidentiality of which BLUE NOSE AERIAL  has an obligation to protect. Contractor recognizes that the foregoing list is not intended to be exhaustive, and that Confidential Information also includes other information that is identified as confidential or proprietary, or that a reasonable person would understand to be confidential or proprietary in the context in which the information is known or used. Confidential Information shall not include information that (i) is generally available to and/or known by the public at the time that Contractor discloses it or at the time it is disclosed to Contractor, provided that the public availability of the information is not directly or indirectly caused by Contractor or persons acting on the Contractor’s behalf, and (ii) information already known to Contractor prior to the date of this Agreement. Contractor may disclose Confidential Information as required by judicial order, provided that prior written notice of a required disclosure is immediately furnished to BLUE NOSE AERIAL, in order to afford the BLUE NOSE AERIAL an opportunity to seek a protective order or confidential treatment. Contractor understands and acknowledges that Contractor’s obligations under this Agreement with regard to specific Confidential Information shall commence upon the Contractor’s first access to it and shall continue during and after the terms of this Agreement until the Confidential Information has become public knowledge other than as a result of the Contractor’s breach of this Agreement or breach by those acting on Contractor’s behalf. Contractor also agrees not to disclose any information about Blue Nose Aerial business to its actual or potential competitors, regardless of whether that information is Confidential Information. Promptly following the earlier of (i) the termination of this Agreement and (ii) the written request of BN, Contractor will deliver to BN all documents or other materials constituting Confidential Information.
  • PROPERTY RIGHTS. Contractor agrees that all works of authorship, inventions, discoveries, ideas and other work product of any nature whatsoever, which are conceived of, created, amended, or reduced to practice by the Contractor, individually or jointly with others, in connection with the services performed under this Agreement and all printed, physical and electronic copies, all improvements, rights and claims related to the foregoing, and other tangible embodiments thereof (collectively, “Work Product”), as well as any and all rights in and to copyrights, trade secrets, trademarks (and related goodwill), patents and other intellectual property rights relating to the Work Product in any jurisdiction throughout the world, and all related rights of priority under international conventions with respect thereto (collectively, “Intellectual Property Rights”), shall be the sole and exclusive property of BLUE NOSE AERIAL . Contractor acknowledges that, by reason and consent in this agreement, all copyrightable Work Product is “work made for hire,” as defined in Section 101 of the Copyright Act of 1976, and copyrights to the Work Product are therefore owned by BLUE NOSE AERIAL. In addition, Contractor hereby assigns to BLUE NOSE AERIAL all right, title and interest in and to all Work Product and Intellectual Property Rights therein. Contractor shall promptly disclose all Work Product to BLUE NOSE AERIAL and perform all actions reasonably requested by the BLUE NOSE AERIAL (whether during or after the term of this agreement) at BLUE NOSE AERIAL  expense to establish, confirm and protect the Blue Nose Aerial ownership (including, without limitation, executing assignments, consents, powers of attorney, applications and other instruments). To the extent any copyrights are assigned under this Agreement, the Contractor hereby irrevocably waives any claims the Contractor may have in any jurisdiction to all rights of paternity, integrity, disclosure and withdrawal and any other rights that may be known as “moral rights” with respect to all Work Product and Intellectual Property Rights.

11. INDEMNIFICATION.

Contractor shall defend, indemnify, and hold BLUE NOSE AERIAL harmless against all costs and reasonable expenses (including reasonable attorneys’ fees), damages, losses and liabilities arising out of or relating to any claim by a third party or one of Contractor’s employees, agents, or contractors for damages relating to

(i) personal injury, death, and/or property damage arising from the services performed by Contractor hereunder, (ii) Contractor’s gross negligence or willful misconduct, or (iii) breach of this Agreement by Contractor.

BLUE NOSE AERIAL  shall indemnify, defend and hold Contractor harmless from and against all costs and reasonable expenses (including reasonable attorneys’ fees), damages, losses and liabilities arising out of any action or claim brought by a third party against Contractor, to the extent that it alleges that the Backoffice or any intellectual property provided to Contractor by BLUE NOSE AERIAL  necessary for the performance of the services by Contractor infringe or constitute a misappropriation of intellectual property rights of a third party.; provided however, BLUE NOSE AERIAL  shall have no obligation under this paragraph to the extent that the alleged infringement arises from (1) the combination, operation, or use of the Backoffice or other intellectual property provided by BLUE NOSE AERIAL  with products not furnished by BLUE NOSE AERIAL ; (2) alterations to the Backoffice or other intellectual property provided by BLUE NOSE AERIAL , which alterations are not made by or at the direction of BLUE NOSE AERIAL  or are made without Blue Nose Aerial written approval; or (3) use of the Backoffice or other intellectual property provided by BLUE NOSE AERIAL  in a manner for which they were not designed or intended.

An indemnified party hereunder shall promptly notify the indemnifying party of any such claim of which it becomes aware and shall (i) at the indemnifying party’s expense, provide reasonable cooperation to the indemnifying party in connection with the defense or settlement of any such claim; and (ii) at the indemnified party’s expense, be entitled to participate in the defense of any such claim. The indemnified party agrees that the indemnifying party shall have sole and exclusive control over the defense and settlement of any such third-party claim; provided, however, that the indemnifying party shall not settle any claim against the indemnified party unless such settlement completely and forever releases the indemnified party with respect thereto and the indemnified party provides its prior written consent to such settlement, which consent shall not be unreasonably withheld.

  1. LIMITATION OF LIABILTY. EXCEPT FOR LIABILITY FOR AMOUNTS PAYABLE FOR THIRD PARTY INFRINGEMENT INDEMNIFICATION, IN NO EVENT SHALL BLUE NOSE AERIAL BE LIABLE FOR ANY BUSINESS INTERRUPTION, LOST DATA, LOST REVENUE, LOST PROFITS, OR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES ARISING OUT OF THIS AGREEMENT. EXCEPT FOR LIABILITY FOR AMOUNTS PAYABLE FOR THIRD PARTY INFRINGEMENT INDEMNIFICATION, IN NO EVENT SHALL BLUE NOSE AERIAL LIABILITY ARISING OUT OF THIS AGREEMENT EXCEED $10,000.
  1. CONTRACTOR’S WARRANTY. Contractor warrants that prior to its assignment to BLUE NOSE AERIAL hereunder, he or she was the sole owner of the Work Product and has full power and authority to make this Agreement; that the Work Product does not infringe any copyright, violate any property rights, or contain any scandalous, libelous, or unlawful matter. Contractor will defend, indemnify, and hold harmless BLUE NOSE AERIAL  and/or its clients against all claims, losses, suits, costs, damages, and expenses that BLUE NOSE AERIAL  and/or its clients may sustain by reason of any scandalous, libelous, or unlawful matter alleged to be contained in the Work Product or any infringement or violation by the Work Product of any copyright or property right, or any other act or omission of Contractor or its employee or agents; and until such claim or suit has been settled or withdrawn, BLUE NOSE AERIAL  may withhold any sums due Contractor under this Agreement.
  1. VARIATION TO THE AGREEMENT. Either party may request variations to the Agreement.  The Parties shall enter into discussions to agree on any required changes, revised pricing and time for performance.  Such variations will only be effective if agreed in writing by the Parties and recorded.
  1. FORCE MAJEURE

  3. For the purposes of this Agreement, “Force Majeure” means an event which could not reasonably have been avoided by a diligent party in the circumstances, which is beyond the reasonable control of a party and which makes a party’s performance of its responsibilities hereunder impossible or so impractical as reasonably to be considered impossible in the circumstances and includes, but is not limited to, war, riots, civil disorder, earthquake, storm, flood or adverse weather conditions, strikes, lockouts or other industrial action, terrorist acts, confiscation or any other action by government agencies.
  4. Force Majeure shall not include any event which is caused by the negligence or intentional action of a Party or such Party’s subcontractors or agents or employees, or by a failure to observe good professional practice.
  5. Force Majeure shall not include insufficiency of funds or failure to make any payment required hereunder.
  6. The failure of a Party to fulfil any of its obligations hereunder shall not be considered to be a breach of, or default under, this Agreement insofar as such inability arises from an event of Force Majeure, provided that the Party affected by such an event has taken all reasonable precautions, due care and reasonable alternative measures, all with the objective of carrying out the terms of this Agreement.
  7. A Party affected by an event of Force Majeure shall take all reasonable measures to remove such Party’s inability to fulfil its obligations hereunder with a minimum of delay.  The Parties shall take all reasonable measures to minimize the consequence of any event of Force Majeure.
  8. A Party affected by an event of Force Majeure shall notify in writing the other Party of such event as soon as possible, and in any event not later than five (5) days following the occurrence of such event, providing evidence of the nature and cause of such event, and shall similarly give notice of the restoration of normal conditions as soon as possible.
  9. Not later than fourteen (14) days after the Contractor, as a result of an event of Force Majeure, has become unable to discharge a material portion of its obligations, the Parties shall consult with each other with a view to agreeing on appropriate measures to be taken in the circumstances.
  10.  
  11. ENTIRE AGREEMENT & SEVERABILITY. This Agreement contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written. Any amendments must be in writing and signed by both parties. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable.
  • HEADINGS. Clause headings are inserted for convenience only and shall be ignored in construing this Agreement.

  • WAIVER OF JURY TRIAL. Contractor hereby waives all rights to trial by jury in any action or proceeding that pertains to this agreement or arises out of the relationship between Contractor and BLUE NOSE AERIAL.
  • CONSTRUCTION, BINDING EFFECT & ASSIGNMENT. This Agreement shall be construed and interpreted according to the laws of the State of Missouri and shall be binding upon the parties hereto, their heirs, successors, assignees, and personal representatives; and references to Contractor and to BLUE NOSE AERIAL shall include their heirs, successors, assignees, and personal representatives. Contractor may not assign its rights and obligations hereunder without the written approval of BLUE NOSE AERIAL.

The “identifiable” nature is derived from the fact that the Blue Nose Aerial know-how is described in sufficient detail in the preliminary training programs and in the operations manual which the Contractor shall receive upon the execution of this Agreement.
 
g. “Personal Information” means information provided to Contractor by BLUE NOSE AERIAL  or at the direction of Customer, or to which access was provided to Contractor by BLUE NOSE AERIAL  or at the direction of Customer, in the course of Contractor’s performance under this Agreement that: (i) identifies or can be used to identify an individual (including, without limitation, names, signatures, addresses, telephone numbers, e-mail addresses and other unique identifiers); or (ii) can be used to authenticate an individual (including, without limitation, employee identification numbers, government-issued identification numbers, passwords or PINs, financial account numbers, credit report information, biometric or health data, answers to security questions and other personal identifiers), in case of both subclauses (i) and (ii), including, without limitation, all data Work Order and Flight Mission data collected. Customer’s business contact information is not by itself deemed to be Personal Information.
 
h. “Work Order” or “Order Form” means a BLUE NOSE AERIAL service order for a field scan that includes type of service, location, field boundaries, timing and quality standards. BLUE NOSE AERIAL will submit to Contractor work order details on behalf of authorized end users.
 
2. In this Agreement, unless the context otherwise requires, any reference to:
3. the singular includes the plural and vice versa;
4. a person includes reference to a body corporate or other legal entity;
5. any written law includes that law as amended or re-enacted from time to time;
6. any agreement or other document includes that agreement or other document as varied or replaced by the Parties in writing from time to time;
7. a clause is to the relevant clause of this Agreement;
8. any Party includes that Party’s successors and assigns.
 
9. APPLICATION OF TERMS AND THE CONTRACTOR UNDERSTANDING
a. Save as may otherwise be provided in this Agreement the terms and conditions set out in this Agreement are the only terms on which BLUE NOSE AERIAL is prepared to deal with the Contractor and they shall govern the relationship between the Parties to the entire exclusion of all other agreements entered into with the Company in relation to the provision of the Works.
b. If any ambiguity is found in the various documents forming this Agreement, BLUE NOSE AERIAL shall issue any necessary clarification or instruction.
c. All documents annexed to this agreement shall be subject to the terms under this agreement, provided that the Parties append their signatures on the documents.

11. CONDITIONS OF SERVICES. Contractor shall conduct on demand Small Unmanned Aerial Vehicle (SUAV) data collection according to BLUE NOSE AERIAL Imaging data collection and technical processing specifications as outlined in each assigned Work Order. As the nature of Flight Mission under this Agreement may be regulated by law, Contractor shall: Obtain all legal authorizations to perform the Flight Mission in accordance with all FAA, state, and local regulations. If Contractor is unable to do so, Contractor shall provide BLUE NOSE AERIAL Imaging with written proof of inquiry pre-deadline for the necessary authorizations. Contractor shall provide to BLUE NOSE AERIAL Imaging all written proof of regulatory compliance before performing any work order. Contractor shall maintain flight logs, strictly comply with all obligations within each Flight Mission and inform BLUE NOSE AERIAL Imaging of significant obstacles met while performing the services under each Work Order. Contractor shall obtain authorization and permits and access to location as necessary for Contractor to conduct the Flight Mission. Contractor shall participate in BLUE NOSE AERIAL Imaging training as designated by BLUE NOSE AERIAL Imaging staff to facilitate the planning and executing of work under this Agreement. As part of each Work Order, BLUE NOSE AERIAL Imaging shall send to Contractor shapefile, .kml or similar document of the Area of Interested that shall be mapped, details about sensor requirements including resolution and other image details, contact information related to the area(s) of interest during the data collection, and verbal or written permission or consent from landowner or authorized representative for unmanned aerial vehicle use within area(s) of interest.
 
Before commencing the Flight Mission, the Contractor shall introduce itself to any third parties in connection with this Agreement as a BLUE NOSE AERIAL Imaging representative. The Contractor must present themselves in professional manner, uphold the image of Blue Nose Aerial Imaging and commit themselves to not undermining the image or credibility of Blue Nose Aerial Imaging when meeting with customers and/or third parties. When necessary, and particularly on job sites, the Contractor shall comply with all requirements to enter or approach each job site, as applicable.
 
The outcome of the service is determined according to standards that are expected to evolve over time. For images that are within the visible range, for example, the standards include but are not limited to the following parameters:
 
i. Overlap rate between images;
ii. Ground resolution of images;
iii. Exposure level of the images;
iv. The brightness of the images; and
v. Resulting orthomosaic with rectification and other proper filters.
 
Contractor understands that all Work Order data, including raw images and derivatives, must be safely stored until it can be transferred to BLUE NOSE AERIAL Imaging. Upon successful transfer, Contractor shall destroy all data its possession. Unless otherwise specified in the Work Order, Contractor agrees to provide BLUE NOSE AERIAL Imaging with the following files no later than date specified:
 
i. WITHIN 6 HOURS OF ASSIGNED WORK ORDER – Acknowledge acceptance of order, confirm that you can fly on or before the schedule date.
 
ii. CONDUCT DATA COLLECTION ON OR BEFORE SCHEDULED DATE – Comply with all legal rules, safety, and BN required parameters; conduct flight on scheduled date or no later than 5 days than order accepted.
 
iii. WITHIN 24 HOURS OF DATA ACQUIRED – Process the flight data according to BLUE NOSE AERIAL specification within the Area of interest and upload designated file results via Backoffice portal
 
iv. WITHIN 15 DAYS OF DATA ACQUIRED – Raw images acquired during the mission or within the scope of the work order; Any log files corresponding to raw images (including timestamp, geospatial coordinates, yaw, pitch and roll metadata); Corresponding flight plan(s) in .kml or .shp format or other suitable document; Flight logs as available; Any metadata corresponding to processed deliverables such as intermediate .kml or .shp files and raster files; Upload via designated BLUE NOSE AERIAL Imaging Backoffice portal or arrange shipment of physical hard media with BLUE NOSE AERIAL  staff; Destroy and delete any and all files in Contractor’s file archives related to the Work Order. Contractor shall send accurate invoice with accrued work performed including any out-pocket costs. Contractor understand that Blue Nose Aerial Imaging will withhold payment until deliverables under this paragraph, including raw images and invoices are received within the designated time. Contractor may forfeit claim for payment upon non-compliance on any and all items in Section 2.
 
v. LICENSE. During the term of this Agreement, BLUE NOSE AERIAL hereby grants to Contractor, and Contractor hereby accepts from BLUE NOSE AERIAL, a nontransferable, nonexclusive right and license to the Backoffice solely to support Contractor’s work related to this Agreement. Contractor shall refrain from reverse engineering the Service or granting any other person or entity the right to do so. Further, Contractor shall return all software, as applicable, upon written notice, and at the end of the term of the Agreement.
 
3. PAYMENT. BLUE NOSE AERIAL will pay according to the schedule listed below at the times provided in a work order.
a. $60.00 per work order up to 100 acres; and
b. $0.50 per acres over 100.1 acres plus, IRS prevailing rate (currently $.56/mile) outside 30-mile radius from home base plus, if the Contractor has a Blue Nose Aerial approved sensor $25.00 per Flight Mission
 
4. TERM. This Agreement may be terminated by either party, without cause, upon 10 days written notice to the other party, provided that Contractor will be paid for all services provided to the date of termination. If Contractor fails to deliver the Services on time in the manner set forth in Paragraph 2, BLUE NOSE AERIAL will have the right to terminate this Agreement immediately and to recover from Contractor any sums advanced in connection with the Services.
 
5. RELATIONSHIP OF PARTIES. The parties hereby acknowledge and agree that this Agreement is not intended to, and does not in any way, create the relationship of principal and agent or employer and employee between BLUE NOSE AERIAL and Contractor. Contractor will not in any manner assume or create any obligation on behalf or in the name of BLUE NOSE AERIAL. BLUE NOSE AERIAL will not be responsible for any employment-related taxes, insurance or fringe benefits whatsoever. Contractor will have the right to control and determine the methods and means of providing the Services, and employ assistants at its sole expense as it deems appropriate to carry out this Agreement.
 
6. DRUG AND ALCOHOL POLICY. Unless further restricted by local regulatory authorities, Contractor, including its employees and affiliates, agree and warrant that no person will act as a Crew Member or perform maintenance on an aircraft when: (i) affected by or under the influence of alcohol, but in no case within eight (8) hours after the consumption of any alcoholic beverages; or (ii) while using any drug of other substance that adversely affects the person’s ability to perform required duties.
 
4. INSURANCE. Contractor shall use approved equipment and software as designate by BLUE NOSE AERIAL. If BLUE NOSE AERIAL provides any equipment or software, then Contractor shall maintain its own insurance, and Include BLUE NOSE AERIAL  as an additional insured and shall send proof of insurance to BLUE NOSE AERIAL  in the form of certificate of insurance from the underwriting insurance company, containing the following information: Name of the broker and insurance company; Contract number; Period of coverage; Proof of up-to-date contribution; Liability amount and coverages.

7. INJURIES. Contractor acknowledges the Contractor’s obligation to obtain appropriate insurance coverage for the benefit of the Contractor (and the Contractor’s employees, if any). The Contractor waives any rights to recovery from BLUE NOSE AERIAL for any injuries that the Contractor (and/or the Contractor’s employees) may sustain while performing services under this Agreement unless such injuries are due to the gross negligence of BLUE NOSE AERIAL.
 
8. CONFIDENTIAL INFORMATION. Contractor acknowledges that Contractor will have access to non-public and proprietary information, in various forms, that relates to the actual or anticipated business and operations of BLUE NOSE AERIAL and related third parties (together, “Confidential Information”). Contractor understands that the ability to preserve Confidential Information for Blue Nose Aerial exclusive knowledge and use is of substantial competitive importance and commercial value to BLUE NOSE AERIAL, and that improper use or disclosure of the Confidential Information by the Contractor is likely to cause BLUE NOSE AERIAL  harm, including financial costs, loss of business advantage, liability under confidentiality agreements with third parties, civil damages and criminal penalties. Contractor therefore agrees at all times during the term of this agreement and thereafter, to hold Confidential Information in strictest confidence, to use it only to promote the business of BLUE NOSE AERIAL in providing the services under this Agreement, and not to disclose it to any person or entity outside of BLUE NOSE AERIAL. The term “Confidential Information” includes (but is not limited to): (i) research, technical data, software, inventions, processes, methodologies, designs, formulas, or any trade secrets, know-how or intellectual property of BLUE NOSE AERIAL  (including the Backoffice); (ii) business and marketing plans, strategies and programs; (iii) product plans and pricing; (iv) customer lists, sales prospect lists, sales strategy, sales data, and information about customers learned during or as a result of Contractor’s duties with BLUE NOSE AERIAL  (including Personal Information); (v) lists of employees, contractors and suppliers; (vi) the terms of BLUE NOSE AERIAL  contracts; (vii) BLUE NOSE AERIAL  financial statements, results, forecasts and budgets, or other financial information; and (viii) confidential or proprietary information of third parties that Contractor learns during or as a result of Contractor’s relationship with BLUE NOSE AERIAL  and the confidentiality of which BLUE NOSE AERIAL  has an obligation to protect. Contractor recognizes that the foregoing list is not intended to be exhaustive, and that Confidential Information also includes other information that is identified as confidential or proprietary, or that a reasonable person would understand to be confidential or proprietary in the context in which the information is known or used. Confidential Information shall not include information that (i) is generally available to and/or known by the public at the time that Contractor discloses it or at the time it is disclosed to Contractor, provided that the public availability of the information is not directly or indirectly caused by Contractor or persons acting on the Contractor’s behalf, and (ii) information already known to Contractor prior to the date of this Agreement. Contractor may disclose Confidential Information as required by judicial order, provided that prior written notice of a required disclosure is immediately furnished to BLUE NOSE AERIAL, in order to afford the BLUE NOSE AERIAL an opportunity to seek a protective order or confidential treatment. Contractor understands and acknowledges that Contractor’s obligations under this Agreement with regard to specific Confidential Information shall commence upon the Contractor’s first access to it and shall continue during and after the terms of this Agreement until the Confidential Information has become public knowledge other than as a result of the Contractor’s breach of this Agreement or breach by those acting on Contractor’s behalf. Contractor also agrees not to disclose any information about Blue Nose Aerial business to its actual or potential competitors, regardless of whether that information is Confidential Information. Promptly following the earlier of (i) the termination of this Agreement and (ii) the written request of BN, Contractor will deliver to BN all documents or other materials constituting Confidential Information.

6. PROPERTY RIGHTS. Contractor agrees that all works of authorship, inventions, discoveries, ideas and other work product of any nature whatsoever, which are conceived of, created, amended, or reduced to practice by the Contractor, individually or jointly with others, in connection with the services performed under this Agreement and all printed, physical and electronic copies, all improvements, rights and claims related to the foregoing, and other tangible embodiments thereof (collectively, “Work Product”), as well as any and all rights in and to copyrights, trade secrets, trademarks (and related goodwill), patents and other intellectual property rights relating to the Work Product in any jurisdiction throughout the world, and all related rights of priority under international conventions with respect thereto (collectively, “Intellectual Property Rights”), shall be the sole and exclusive property of BLUE NOSE AERIAL . Contractor acknowledges that, by reason and consent in this agreement, all copyrightable Work Product is “work made for hire,” as defined in Section 101 of the Copyright Act of 1976, and copyrights to the Work Product are therefore owned by BLUE NOSE AERIAL. In addition, Contractor hereby assigns to BLUE NOSE AERIAL all right, title and interest in and to all Work Product and Intellectual Property Rights therein. Contractor shall promptly disclose all Work Product to BLUE NOSE AERIAL and perform all actions reasonably requested by the BLUE NOSE AERIAL (whether during or after the term of this agreement) at BLUE NOSE AERIAL  expense to establish, confirm and protect the Blue Nose Aerial ownership (including, without limitation, executing assignments, consents, powers of attorney, applications and other instruments). To the extent any copyrights are assigned under this Agreement, the Contractor hereby irrevocably waives any claims the Contractor may have in any jurisdiction to all rights of paternity, integrity, disclosure and withdrawal and any other rights that may be known as “moral rights” with respect to all Work Product and Intellectual Property Rights.
 
11. INDEMNIFICATION.
Contractor shall defend, indemnify, and hold BLUE NOSE AERIAL harmless against all costs and reasonable expenses (including reasonable attorneys’ fees), damages, losses and liabilities arising out of or relating to any claim by a third party or one of Contractor’s employees, agents, or contractors for damages relating to
(i) personal injury, death, and/or property damage arising from the services performed by Contractor hereunder, (ii) Contractor’s gross negligence or willful misconduct, or (iii) breach of this Agreement by Contractor.
 
BLUE NOSE AERIAL  shall indemnify, defend and hold Contractor harmless from and against all costs and reasonable expenses (including reasonable attorneys’ fees), damages, losses and liabilities arising out of any action or claim brought by a third party against Contractor, to the extent that it alleges that the Backoffice or any intellectual property provided to Contractor by BLUE NOSE AERIAL  necessary for the performance of the services by Contractor infringe or constitute a misappropriation of intellectual property rights of a third party.; provided however, BLUE NOSE AERIAL  shall have no obligation under this paragraph to the extent that the alleged infringement arises from (1) the combination, operation, or use of the Backoffice or other intellectual property provided by BLUE NOSE AERIAL  with products not furnished by BLUE NOSE AERIAL ; (2) alterations to the Backoffice or other intellectual property provided by BLUE NOSE AERIAL , which alterations are not made by or at the direction of BLUE NOSE AERIAL  or are made without Blue Nose Aerial written approval; or (3) use of the Backoffice or other intellectual property provided by BLUE NOSE AERIAL  in a manner for which they were not designed or intended.
 
An indemnified party hereunder shall promptly notify the indemnifying party of any such claim of which it becomes aware and shall (i) at the indemnifying party’s expense, provide reasonable cooperation to the indemnifying party in connection with the defense or settlement of any such claim; and (ii) at the indemnified party’s expense, be entitled to participate in the defense of any such claim. The indemnified party agrees that the indemnifying party shall have sole and exclusive control over the defense and settlement of any such third-party claim; provided, however, that the indemnifying party shall not settle any claim against the indemnified party unless such settlement completely and forever releases the indemnified party with respect thereto and the indemnified party provides its prior written consent to such settlement, which consent shall not be unreasonably withheld.
 
12. LIMITATION OF LIABILTY. EXCEPT FOR LIABILITY FOR AMOUNTS PAYABLE FOR THIRD PARTY INFRINGEMENT INDEMNIFICATION, IN NO EVENT SHALL BLUE NOSE AERIAL BE LIABLE FOR ANY BUSINESS INTERRUPTION, LOST DATA, LOST REVENUE, LOST PROFITS, OR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES ARISING OUT OF THIS AGREEMENT. EXCEPT FOR LIABILITY FOR AMOUNTS PAYABLE FOR THIRD PARTY INFRINGEMENT INDEMNIFICATION, IN NO EVENT SHALL BLUE NOSE AERIAL LIABILITY ARISING OUT OF THIS AGREEMENT EXCEED $10,000.
 
13. CONTRACTOR’S WARRANTY. Contractor warrants that prior to its assignment to BLUE NOSE AERIAL hereunder, he or she was the sole owner of the Work Product and has full power and authority to make this Agreement; that the Work Product does not infringe any copyright, violate any property rights, or contain any scandalous, libelous, or unlawful matter. Contractor will defend, indemnify, and hold harmless BLUE NOSE AERIAL  and/or its clients against all claims, losses, suits, costs, damages, and expenses that BLUE NOSE AERIAL  and/or its clients may sustain by reason of any scandalous, libelous, or unlawful matter alleged to be contained in the Work Product or any infringement or violation by the Work Product of any copyright or property right, or any other act or omission of Contractor or its employee or agents; and until such claim or suit has been settled or withdrawn, BLUE NOSE AERIAL  may withhold any sums due Contractor under this Agreement.
 
14. VARIATION TO THE AGREEMENT. Either party may request variations to the Agreement.  The Parties shall enter into discussions to agree on any required changes, revised pricing and time for performance.  Such variations will only be effective if agreed in writing by the Parties and recorded.
 
15. FORCE MAJEURE

17. For the purposes of this Agreement, “Force Majeure” means an event which could not reasonably have been avoided by a diligent party in the circumstances, which is beyond the reasonable control of a party and which makes a party’s performance of its responsibilities hereunder impossible or so impractical as reasonably to be considered impossible in the circumstances and includes, but is not limited to, war, riots, civil disorder, earthquake, storm, flood or adverse weather conditions, strikes, lockouts or other industrial action, terrorist acts, confiscation or any other action by government agencies.
18. Force Majeure shall not include any event which is caused by the negligence or intentional action of a Party or such Party’s subcontractors or agents or employees, or by a failure to observe good professional practice.
19. Force Majeure shall not include insufficiency of funds or failure to make any payment required hereunder.
20. The failure of a Party to fulfil any of its obligations hereunder shall not be considered to be a breach of, or default under, this Agreement insofar as such inability arises from an event of Force Majeure, provided that the Party affected by such an event has taken all reasonable precautions, due care and reasonable alternative measures, all with the objective of carrying out the terms of this Agreement.
21. A Party affected by an event of Force Majeure shall take all reasonable measures to remove such Party’s inability to fulfil its obligations hereunder with a minimum of delay.  The Parties shall take all reasonable measures to minimize the consequence of any event of Force Majeure.
22. A Party affected by an event of Force Majeure shall notify in writing the other Party of such event as soon as possible, and in any event not later than five (5) days following the occurrence of such event, providing evidence of the nature and cause of such event, and shall similarly give notice of the restoration of normal conditions as soon as possible.
23. Not later than fourteen (14) days after the Contractor, as a result of an event of Force Majeure, has become unable to discharge a material portion of its obligations, the Parties shall consult with each other with a view to agreeing on appropriate measures to be taken in the circumstances.

25. ENTIRE AGREEMENT & SEVERABILITY. This Agreement contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written. Any amendments must be in writing and signed by both parties. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable.
 
26. HEADINGS. Clause headings are inserted for convenience only and shall be ignored in construing this Agreement.

28. WAIVER OF JURY TRIAL. Contractor hereby waives all rights to trial by jury in any action or proceeding that pertains to this agreement or arises out of the relationship between Contractor and BLUE NOSE AERIAL.
 
29. CONSTRUCTION, BINDING EFFECT & ASSIGNMENT. This Agreement shall be construed and interpreted according to the laws of the State of Missouri and shall be binding upon the parties hereto, their heirs, successors, assignees, and personal representatives; and references to Contractor and to BLUE NOSE AERIAL shall include their heirs, successors, assignees, and personal representatives. Contractor may not assign its rights and obligations hereunder without the written approval of BLUE NOSE AERIAL.
